<p style="text-align: justify;">El cambio es muy grande, podría decirse que un 75-85% de las condiciones han cambiado, por tanto hacer un comentario detallando cambio por cambio es complicado.</p>
<p style="text-align: justify;">De modo que he decidido incluir la versión anterior y la nueva de las Condiciones de Uso de las APIs y en la nueva indicar en <span style="color: #008080;">color</span> los cambios. Al menos así espero que quien necesite conocer las modificaciones, lo tenga un poco más fácil.</p>
<p style="text-align: justify;">Al análisis de este bloque y el resto de términos y condiciones de LinkedIn queda para el futuro.</p>

<p style="text-align: justify;">Vamos a ello pues, primero las <strong>ANTIGUAS</strong> Condiciones de Uso de las APIs:</p>

<h3 style="text-align: justify;"><span style="color: #808080;"><em>LinkedIn APIs Terms of Use</em></span></h3>
<p style="text-align: justify;"><strong><span style="color: #808080;"><em>Introduction</em></span></strong></p>
<p style="text-align: justify;"><span style="color: #808080;"><em>Thank you for using the LinkedIn APIs. LinkedIn makes its application programming interfaces (LinkedIn APIs&#8221; or &#8220;APIs&#8221;) available to you to facilitate the development of innovative applications with a professional context using LinkedIn data and developer tools. If you want to use the LinkedIn APIs outside the scope of these Terms and Conditions, or to build and/or distribute enterprise applications outside your own company (e.g. use the APIs to build an Application that you distribute to other companies), please contact our Enterprise Relations Team.</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em>By using one or more of the LinkedIn APIs, you and, if applicable, the company you represent (collectively, &#8220;you&#8221;) accept and agree to be bound by the following terms and conditions (the &#8220;Terms of Use&#8221; or &#8220;Terms&#8221;). It is important that you read these Terms as they form a legal agreement between you and LinkedIn Corporation (&#8220;LinkedIn&#8221;, &#8220;we&#8221;, or &#8220;us&#8221;).</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em>In addition to the content in this document, the following are incorporated into the Terms (and references to &#8220;Terms&#8221; shall mean this document and those incorporated by reference):</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em>The LinkedIn User Agreement, which is located at http://www.linkedin.com/static?key=user_agreement;</em></span><br />
<span style="color: #808080;"><em> The LinkedIn Privacy Policy, which is located at http://www.linkedin.com/static?key=privacy_policy;</em></span><br />
<span style="color: #808080;"><em> The Platform Guidelines, which are located at the LinkedIn Developer Network site at developer.linkedin.com (&#8220;Developer Site&#8221;); and</em></span><br />
<span style="color: #808080;"><em> The Branding Guidelines, which are also located at the Developer Site.</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em>In the event of any conflict between the content in this document and the documents incorporated by reference, this document shall control with respect to your use of the APIs. If you disagree with any of the provisions in these Terms, do not click that you agree to them, and do not accept, access or use the APIs.</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em>LinkedIn reserves the right, from time to time, with or without notice to you, to change these Terms in our sole and absolute discretion. The most current version of these Terms can be reviewed on the LinkedIn developer portal at anytime and supersedes all previous versions. By using the LinkedIn APIs after changes are made to the Terms, you agree to be bound by such changes. Your only recourse if you disagree with the Terms, or changes to the Terms, is to discontinue your use of the APIs. Accordingly, we recommend you review these Terms periodically.</em></span></p>
<p style="text-align: justify;"><strong><span style="color: #808080;"><em>1 Description, Licenses, and Restrictions</em></span></strong></p>
<p style="text-align: justify;"><span style="color: #808080;"><em><strong>1.1 Description of LinkedIn APIs.</strong> The APIs consist of programmatic web APIs and associated tools and documentation that allow you to create software application(s) or website(s) (your &#8220;Application&#8221;) using certain data and content from the LinkedIn website at www.linkedin.com (&#8220;Website&#8221;), made accessible by LinkedIn in its sole discretion (the &#8220;Content&#8221;). While LinkedIn strives to have its APIs available continuously, it cannot guarantee any up-time for any LinkedIn developer resource, including the APIs.</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em><strong>1.2 Developer Accounts and Access Codes.</strong> To obtain the necessary security keys, secrets, tokens, passwords and/or other credentials to access the APIs (collectively, &#8220;Access Codes&#8221; or &#8220;API Keys&#8221;), you must create a account through LinkedIn&#8217;s developer portal at: http://developer.linkedin.com (&#8220;Developer Account&#8221;). You are responsible for maintaining the secrecy and security of your Access Codes, and all activities that occur using your Access Codes, are your responsibility. In order to maintain accurate information (including a current email address and other required contact information) related your account, you must keep your Developer Account information up-to-date.</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em><strong>1.3 APIs License Grant.</strong> Subject to the terms and conditions in these Terms, we grant you a limited, non-exclusive, non-assignable or non-transferable license under LinkedIn&#8217;s intellectual property rights during the Term to use the APIs to develop, test, and support your Application, and to distribute or allow access to your integration of the APIs within your Application to end users of your Application. You have no right to distribute or allow access to the stand-alone APIs.</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em><strong>1.4 Brand Features License Grant.</strong> Subject to the terms and conditions of these Terms, we grant you a limited, non-exclusive, non-assignable and non-transferable license during the Term to display our trade names, trademarks, service marks, logos and domain names that we make available to you in our discretion via the Branding Guidelines available on our Developer Site (collectively, &#8220;Brand Features&#8221;) to promote or advertise your integration of the APIs in your Application. You agree that your use and display of the Brand Features will at all times be consistent with the Branding Guidelines, and any other branding, trademark, or similar guidelines included in the Platform Guidelines. In particular, you agree not to display our Brand Features in any way that is misleading, defamatory, infringing, libelous, disparaging, obscene, or otherwise objectionable to LinkedIn, or in a way that suggests we have created, sponsored, or endorsed your Application or its content.</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em><strong>1.5 Restrictions.</strong> In addition to other restrictions contained in these Terms, you agree not to do any of the following, unless expressly permitted by LinkedIn in these Terms or in writing by LinkedIn:</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em>a. Use a fraudulent LinkedIn profile to register as a LinkedIn developer. All LinkedIn profiles must accurately reflect the professional information of the actual developer requesting the license, including an accurate description of the current title and company.</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em>b. Allow anyone other than you to access your Developer Account.</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em>c. Sell, transfer, sublicense or otherwise fail to protect the confidentiality of the APIs, Access Codes, or content posted or available in areas of the Developer Site that require Access Codes.</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em>d. Modify or attempt to circumvent the Access Codes.</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em>e. Obtain or use more than twenty-five (25) Access Codes, either through one or multiple developer accounts. Please contact our Business Development Team at: business@linkedin.com to discuss options to exceed this limit.</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em>f. Require your users to obtain their own Access Code to use your Application.</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em>g. Use your Developer Account or Access Codes to build and/or distribute enterprise applications outside your own company (e.g. use the APIs to build an Application that you distribute to other companies).</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em>h. Request or publish information impersonating a LinkedIn user, misrepresent any user or other third party in requesting or publishing information;</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em>i. Provide functionality that proxies, requests or collects LinkedIn user names or passwords; or</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em>j. Obfuscate or hide your deployment or use of any LinkedIn buttons, sign-in functionality, consent or authorization flows from your users.</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em>k. Allow any third party, including other users, to see information obtained from another user&#8217;s LinkedIn network or through another user&#8217;s view of our Website or the Content;</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em>l. Obtain, display or use more data through the APIs than is minimally required to run the Application created using the particular developer key;</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em>m. Store LinkedIn user data other than the Member Token or OAuth Token for any LinkedIn user, with the exception of a user&#8217;s profile data when given explicit permission by the owner of the profile as set forth in 3.4, below. User profile data obtained in accordance with this section and 3.4 below may not be updated without the user&#8217;s subsequent consent;</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em>n. Use the APIs or Brand Features for any illegal, unauthorized or otherwise improper purposes, or in any manner that would violate these Terms (or any document incorporated into the Terms), or breach any laws or regulations, or violate any rights of third parties, or expose LinkedIn or its members to legal liability in your use of the APIs;</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em>o. Combine content from the APIs with other LinkedIn data obtained through scraping or any other means outside the official LinkedIn APIs. This includes acquiring LinkedIn data from third parties;</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em>p. Remove any legal, copyright, trademark, watermark or other proprietary rights notices contained in or on materials you receive or access pursuant to these Terms, including the APIs, the materials posted at the Developer Site, and our Website;</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em>q. Sell, lease, share, transfer, sublicense any Content obtained through the APIs, directly or indirectly, to any third party, including any data broker, ad network, ad exchange, or other advertising or monetization-related party..</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em>r. Charge, directly or indirectly, any incremental fees (including any unique, specific, or premium charges) for access to LinkedIn&#8217;s Content or your integration of the APIs in your Application;</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em>s. Use the Content in any advertisements or for purposes of targeting advertisements (whether such advertisement appear in your Application or elsewhere);</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em>t. Submit content that falsely expresses or implies that such content is sponsored or endorsed by LinkedIn;</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em>u. Use the Content for generating advertising, messages, promotions, offers, or for any other purpose other than, and solely to the extent necessary for, allowing end users to use the returned Content in your Application;</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em>v. Implement features or business practices that harms the professional reputation, relationships, or professional ecosystem of LinkedIn members.</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em>w. Copy, adapt, reformat, reverse-engineer, disassemble, decompile, translate or otherwise modify the APIs, Access Codes, our Website or any Content displayed on it, including the a user&#8217;s Public Profile including its URL, or any of our other services, through automated or other means;</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em>x. Use the APIs in an Application that competes with products or services offered by us;</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em>y. Interfere with or disrupt LinkedIn services or servers or networks connected to LinkedIn services, or disobey any requirements, procedures, policies or regulations of networks connected to LinkedIn services;</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em>z. Use any robot, spider, site search/retrieval Application, or other device to retrieve or index any portion of LinkedIn services or collect information about users for any unauthorized purpose;</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em>aa. Download, scrape, post, or transmit, in any form or by any means, any part of our Website or Content other than Content that you post as part of your Application;</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em>bb. Transmit any viruses, worms, defects, Trojan horses, or any items of a destructive nature through your use of the APIs;</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em>cc. Use the APIs in an Application that contains or displays or promotes any of the following: spyware, adware, or other malicious programs or code, counterfeit goods, items subject to US embargo, hate materials (e.g. Nazi memorabilia) or materials urging acts of terrorism or violence, goods made from protected animal/plant species, recalled goods, any hacking, surveillance, interception, or descrambling equipment, illegal drugs and paraphernalia, unlicensed sale of prescription drugs and medical devices, the sale of tobacco or alcohol to persons under twenty-one (21) years of age, pornography, prostitution, body parts and bodily fluids, stolen products and items used for theft, fireworks, explosives, and hazardous materials, government IDs, police items, unlicensed trade or dealing in stocks and securities, gambling items, professional services regulated by state licensing regimes, non-transferable items such as airline tickets or event tickets, non-packaged food items, or weapons and accessories;</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em>dd. Use the APIs for purposes where their failure could lead to death, personal injury, or severe property or environmental damage;</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em><strong>1.6 Support and Modifications.</strong> We may provide you with support or modifications for the APIs in our sole discretion. We may terminate the provision of such support or modifications to you at any time without notice or liability to you. We may release subsequent versions of the APIs and require that you use such subsequent versions. Your continued use of the APIs following a subsequent release will be deemed your acceptance of modifications.</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em><strong>1.7 Fees.</strong> The APIs are currently provided for free, but LinkedIn reserves the right to charge for the APIs in the future. If we do charge a fee for use of the APIs or any developer tools and features, you do not have any obligation to continue to use the LinkedIn&#8217;s developer resources.</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em><strong>1.8 Monitoring.</strong> You agree to provide assist LinkedIn in verifying your compliance with this Agreement by providing us information about your Application, including providing us access to it and/or other materials related to your use of the APIs. If, in LinkedIn&#8217;s sole discretion, you do not demonstrate full compliance with this Agreement, we may restrict or terminate your access to the APIs.</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em><strong>1.9 Usage Limitations.</strong> LinkedIn may limit the number of network calls that your Application may make via the APIs, and/or the maximum Content that may be accessed, or anything else about the APIs and the Content it accesses as LinkedIn deems appropriate in its sole discretion. The usage limitations can be found in the LinkedIn developer portal at http://developer.linkedin.com/. LinkedIn may change such usage limits at any time. In addition to its other rights under these Terms, LinkedIn may utilize technical measures to prevent over-usage and/or stop usage of the APIs by an Application after any usage limitations are exceeded. If no limits are stated in the Platform Guidelines, you nevertheless agree to use the APIs in a manner that, as determined by us in our sole discretion, exceeds reasonable request volume or constitutes excessive or abusive usage.</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em><strong>1.10 Security Measures.</strong> Your networks, operating system and the software of your web server(s), routers, databases, and computer systems (collectively, &#8220;System&#8221; or &#8220;Systems&#8221;) must be properly configured to Internet industry standards as required to securely operate your Application. You will not architect or select Systems in a manner to avoid the foregoing obligation. You must promptly report any security deficiencies in or intrusions to your Systems that you discover to LinkedIn in writing via email to support@linkedin.com or subsequent contact information posted in the Developer Site. You will work with LinkedIn to immediately correct any security deficiency, and will disconnect immediately any intrusions or intruder. In the event of security deficiency or intrusion involving the Application, you will make no public statements (i.e. press, blogs, bulletin boards, etc.) without prior written and express permission from LinkedIn in each instance.</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em><strong>1.11 LinkedIn Independent Development.</strong> You understand and acknowledge that LinkedIn may be independently creating applications, content and other products or services that may be similar to or competitive with your Application, and nothing in these Terms will be construed as restricting or preventing LinkedIn from creating and fully exploiting such applications, content and other items, without any obligation to you.</em></span></p>
<p style="text-align: justify;"><strong><span style="color: #808080;"><em>2 Proprietary Rights</em></span></strong></p>
<p style="text-align: justify;"><span style="color: #808080;"><em><strong>2.1 LinkedIn Property.</strong> As between you and us, we own all rights, title, and interest, including without limitation all intellectual property rights, in and to, the (i) APIs, and all elements, components, and executables of the APIs; (ii) the Content available from the APIs; (iii) our Website; and (iv) our Brand Features (collectively, the &#8220;LinkedIn Materials&#8221;). Except for the express licenses granted in these Terms, LinkedIn does not grant you any right, title or interest in the LinkedIn Materials. You agree to take such actions, including, without limitation, execution of affidavits or other documents, as LinkedIn may reasonably request to effect, perfect or confirm LinkedIn&#8217;s rights to the LinkedIn Materials.</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em><strong>2.2 Feedback.</strong> You have no obligation to give us any suggestions, comments or other feedback (&#8220;Feedback&#8221;) relating to the LinkedIn Materials. However, we may use and include any Feedback that you voluntarily provide to improve the LinkedIn Materials and/or any other of our products, services or technologies. Accordingly, if you give Feedback, you agree that we may freely use, reproduce, license, and distribute such Feedback. You also agree not to provide Feedback that you know is subject to any intellectual property claim by a third party or any license terms which would require products or services derived from such Feedback to be licensed to or from, or shared with, any third party.</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em><strong>2.3 Application.</strong> You represent and warrant to LinkedIn that, excluding LinkedIn Property, you have the right to use, reproduce, transmit, copy, publicly display, publicly perform, and distribute your Application, and that use by LinkedIn and its users of your Application shall not violate the rights of any third party (e.g., copyright, patent, trademark, or other proprietary right of any person or entity), or any applicable regulation or law, including the laws of any country in which your Application is made available. Except to the extent your Application contains LinkedIn Property, LinkedIn claims no ownership or control over your Application. During the term of these Terms you hereby grant to us a paid-up, royalty-free, nonexclusive, worldwide irrevocable right and license, under all of your intellectual property rights, to: (i) use, perform, and display your Application and its content for purposes of marketing, demonstrating, and making your Application available to users; (ii) link to and direct users to your Application; and (iii) sublicense the foregoing rights to our affiliates. Following the termination of these Terms and upon written request from you, LinkedIn shall make commercially reasonable efforts, as determined in its sole discretion, to remove all references and links to your Application from the LinkedIn website and service. LinkedIn shall have no other obligation to delete copies of, references to, or links to, your Application.</em></span></p>
<p style="text-align: justify;"><strong><span style="color: #808080;"><em>3 Privacy, Policies, and Legal Compliance</em></span></strong></p>
<p style="text-align: justify;"><span style="color: #808080;"><em><strong>3.1 LinkedIn&#8217;s Privacy Policy.</strong> LinkedIn&#8217;s collection and use of personal information from its users and developers is governed by LinkedIn&#8217;s Privacy Policy, available at http://www.linkedin.com/static?key=privacy_policy and incorporated by reference into these Terms, with the exception that LinkedIn may reveal personal information about developers for attribution purposes, handling inquiries from users or potential users, and other purposes LinkedIn reasonably deems necessary pursuant to these Terms. You understand and agree that LinkedIn may access, preserve, and disclose your personal information and your developer account details if required to do so by law or in a good faith belief that such access, preservation, or disclosure is reasonably necessary to comply with legal process or protect the rights, property and/or safety of LinkedIn, its affiliates or partners, its users, or the general public.</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em><strong>3.2 Digital Millennium Copyright Act.</strong> You will post a policy complying with the Digital Millennium Copyright Act (DMCA) and respond promptly to notices of alleged copyright infringement involving your Application.</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em><strong>3.3 Your Policies; Informed Consent.</strong> You will (a) maintain your own user agreement and privacy policy applicable to users of the Application (your &#8220;Policies&#8221;), (b) comply with your Policies, (c) prominently identify and link to your Policies at those locations where users may opt to download or access your Application, and (d) promptly notify us of any breaches of your Policies by you or users of the Application. Your privacy policy will be at least as stringent and user-friendly as LinkedIn&#8217;s. Before obtaining information from your users of the Application, you will obtain their informed consent by informing them what information you collect and how it will be used and/or shared.</em></span></p>
<p style="text-align: justify;"><strong><span style="color: #808080;"><em>3.4 Data Storage and Conversion Limits.</em></span></strong></p>
<p style="text-align: justify;"><span style="color: #808080;"><em><strong>3.4.1 Prohibition on Copying and Storage.</strong> You may not copy, store or cache any Content returned or received through the APIs, including data about users, longer than the current usage session of the user for which it was obtained, except for the alphanumeric user IDs (Member Tokens) which we provide you for identifying users or any individual member&#8217;s authentication token (OAuth Token) which we provide you when a LinkedIn user authenticates your Application to his LinkedIn account.</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em><strong>3.4.2 Exceptions.</strong> You may store the Member Token and the OAuth Token until the earlier of:</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><em>Your ceasing using the APIs;</em></span><br />
<span style="color: #808080;"><em> The LinkedIn user uninstalls your application or directs you to delete the user&#8217;s information; or,</em></span><br />
<span style="color: #808080;"><em> We terminate your use of them for breach of these Terms.</em></span></p>
<p style="text-align: justify;"><span style="color: #808080;"><strong>3.4.3 Exception to Storage and Conversion Limits with User Consent.</strong> The restrictions of this section do not apply to user profile data received through a one-time call through the APIs that a user explicitly permits you to collect and store, provided that you obtain the user&#8217;s consent through the technical and user-interface specifications provided by LinkedIn, and that any subsequent update to the profile data only be done with the user&#8217;s explicit consent. PLEASE NOTE: a) User profile data does not include information about a user&#8217;s connections, which may not be copied or stored; and b) you may only use stored profile data for the benefit of the LinkedIn user that granted you permission to access it.</span></p>
<p style="text-align: justify;"><span style="color: #808080;"><strong>3.4.4 Removal of LinkedIn User Data from Your System.</strong> Also, you must remove all data collected with the user&#8217;s consent upon request by the user, when the user uninstalls your Application, or when the user closes his or her account with you. The restrictions of this section also do not apply to &#8220;Independent Data,&#8221; which means data that users provide directly to you and that is separately entered, uploaded, or presented to you by the user of your Application.</span></p>
<p style="text-align: justify;"><span style="color: #808080;"><strong>3.4.5 Data from the Apply with LinkedIn Plugin.</strong> Content obtained from the Apply with LinkedIn Plugin is provided solely for the use of the hiring company that is accepting applications for an open position and cannot be used to create or populate a profile on a third party service, or to create an application template used across multiple job applications.</span></p>
<p style="text-align: justify;"><strong><span style="color: #808080;">4 Marketing and Publicity</span></strong></p>
<p style="text-align: justify;"><span style="color: #808080;"><strong>4.1 Your Marketing and Publicity.</strong> You may promote your Application, including talking to traditional and online media and your users about your Application, so long as you do so truthfully and without implying that your Application is created or endorsed by LinkedIn (or otherwise embellishing your relationship with LinkedIn). However, you may not issue any formal press release via traditional or online media referring to LinkedIn without LinkedIn&#8217;s prior consent, unless expressly allowed in the Guidelines for Use of LinkedIn Brand Features.</span></p>
<p style="text-align: justify;"><span style="color: #808080;"><strong>4.2 LinkedIn&#8217;s Marketing and Publicity.</strong> We may publicly refer to you, orally or in writing, as a licensee of the LinkedIn APIs and we may publish your name and/or logo (with or without a link to your Application) on our Website, in press releases, and in promotional materials without your prior consent.</span></p>
<p style="text-align: justify;"><span style="color: #808080;"><strong>5 Confidentiality.</strong> </span></p>
<p style="text-align: justify;"><span style="color: #808080;">The term &#8220;LinkedIn Confidential Information&#8221; means any information of or relating to LinkedIn that becomes known to you through disclosure, observation or otherwise, and that either is designated as confidential by LinkedIn or that is not generally known or readily ascertainable to the public, including, without limitation, nonpublic information regarding LinkedIn&#8217;s APIs and LinkedIn&#8217;s products, services, programs, features, data, techniques, technology, code, ideas, inventions, research, testing, methods, procedures, know-how, trade secrets, business and financial information and other activities. All LinkedIn Confidential Information remains the property of LinkedIn, and no license or other right in any LinkedIn Confidential Information is granted hereby. You will not disclose any LinkedIn Confidential Information to any third party, and will take all reasonable precautions to prevent its unauthorized dissemination, both during and after the term of these Terms. If you are a corporate entity, you will limit your internal distribution of LinkedIn Confidential Information to your employees and agents who have a need to know, and will take steps to ensure that dissemination is so limited. You will not use any LinkedIn Confidential Information for the benefit of anyone other than LinkedIn. Upon LinkedIn&#8217;s written request, you will destroy or return to LinkedIn all LinkedIn Confidential Information in your custody or control. In addition to the terms of this provision, you and LinkedIn will continue to be subject to any non-disclosure agreement that you and LinkedIn have entered into separately. This provision will survive any termination of these Terms.</span></p>
<p style="text-align: justify;"><strong><span style="color: #808080;">6 Term and Termination</span></strong></p>
<p style="text-align: justify;"><span style="color: #808080;"><strong>6.1 Term.</strong> The term of these Terms of Use shall commence on the date upon which you agree to the Terms and shall continue in force thereafter, unless modified or terminated as provided herein.</span></p>
<p style="text-align: justify;"><span style="color: #808080;"><strong>6.2 LinkedIn Termination; Suspension; Discontinuance.</strong> We may suspend or terminate your use of all or any of the APIs at any time if we believe you have violated these Terms, the User Agreement, the Platform Guidelines, or, in our sole discretion, we believe the availability of the APIs in your Application is not in our or our users&#8217; best interests. We may discontinue the availability of some or all of the APIs at any time for any reason. We may also impose limits on certain features and services or restrict your access to some or all of the APIs or our Website. All of our rights herein may be exercised without prior notice or liability to you.</span></p>
<p style="text-align: justify;"><span style="color: #808080;"><strong>6.3 Your Termination.</strong> You may terminate the agreement under these Terms for any reason or no reason at all, at your convenience, by closing your account or ceasing use of the APIs.</span></p>
<p style="text-align: justify;"><span style="color: #808080;"><strong>6.4 Effect of Termination.</strong> Upon termination of the agreement between you and us under these Terms, (a) all rights and licenses granted to you will terminate immediately, (b) any and all payment obligations, if any, will be due, (c) you will promptly destroy LinkedIn Confidential Information in your possession or control, and (d) unless we agree otherwise in writing or as stated in these Terms, you must permanently delete all Content or other data which you stored pursuant to your use of the APIs, except as expressly permitted by these Terms of the Platform Guidelines. LinkedIn may request that you certify in writing your compliance with this section. No liability shall be created for either party by the mere fact of termination of the agreement under these Terms. The following sections of these Terms shall survive termination: Sections 1.5, 1.8, 1.11, 2, 3, and 5-10.</span></p>
<p style="text-align: justify;"><span style="color: #808080;"><strong>6.5 Remedies.</strong> You acknowledge that your breach of these Terms may cause irreparable harm to LinkedIn, the extent of which would be difficult to ascertain. Accordingly, you agree that, in addition to any other remedies to which LinkedIn may be legally entitled, LinkedIn shall have the right to seek immediate injunctive relief in the event of a breach of these Terms by you or any of your officers, employees, consultants or other agents.</span></p>
<p style="text-align: justify;"><strong><span style="color: #808080;">7 WARRANTY DISCLAIMER</span></strong></p>
<p style="text-align: justify;"><span style="color: #808080;">THE LINKEDIN MATERIALS ARE PROVIDED &#8220;AS IS&#8221; WITH NO WARRANTY, EXPRESS OR IMPLIED, OF ANY KIND AND WE EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES AND CONDITIONS, INCLUDING ANY IMPLIED WARRANTY OR CONDITION OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AVAILABILITY, SECURITY, TITLE AND/OR NON-INFRINGEMENT. SOME OF THE LINKEDIN MATERIALS ARE EXPERIMENTAL AND HAVE NOT BEEN TESTED IN ANY MANNER. WE DO NOT REPRESENT, WARRANT OR MAKE ANY CONDITION THAT THE LINKEDIN MATERIALS ARE FREE OF INACCURACIES, ERRORS, BUGS OR INTERRUPTIONS, OR ARE RELIABLE, ACCURATE, COMPLETE OR OTHERWISE VALID. YOUR USE OF THE LINKEDIN MATERIALS IS AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE THAT RESULTS FROM USE OF THE LINKEDIN MATERIALS INCLUDING FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM US OR THROUGH OR FROM OUR WEBSITE OR OUR SERVICES SHALL CREATE ANY WARRANTY OR CONDITION NOT EXPRESSLY STATED IN THESE TERMS.</span></p>
<p style="text-align: justify;"><strong><span style="color: #808080;">8 LIMITATION OF LIABILITY</span></strong></p>
<p style="text-align: justify;"><span style="color: #808080;">YOU AGREE TO THE FOLLOWING LIMITATION OF LIABILITY TO THE EXTENT PERMITTED BY APPLICABLE LAW: YOU EXPRESSLY UNDERSTAND AND AGREE THAT LINKEDIN SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF LINKEDIN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE LINKEDIN MATERIALS; (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES; (iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (iv) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON OR IN THE LINKEDIN MATERIALS OR ANY LINKEDIN SERVICES; OR (v) ANY OTHER MATTER RELATING TO THE LINKEDIN MATERIALS OR ANY LINKEDIN SERVICES. UNDER NO CIRCUMSTANCES SHALL LINKEDIN&#8217;S AGGREGATE, CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, UNDER ANY THEORY OF LIABILITY, EXCEED U.S. ONE HUNDRED DOLLARS (U.S. $100).</span></p>
<p style="text-align: justify;"><span style="color: #808080;"><strong>9 Indemnification.</strong> You agree to hold harmless and indemnify LinkedIn, and its affiliates, and their respective directors, officers, agents, and employees, advertisers or partners, from and against any third party claim arising from or in any way related to your use of any LinkedIn Materials, violation of these Terms of Use or any other actions connected with your use of the LinkedIn APIs, including any liability or expense arising from all claims, losses, damages (actual and consequential), suits, judgments, litigation costs and reasonable attorneys&#8217; fees, of every kind and nature.</span></p>
<p style="text-align: justify;"><strong><span style="color: #808080;">10. General Terms</span></strong></p>
<p style="text-align: justify;"><span style="color: #808080;"><strong>10.1 Governing Law; Attorneys Fees.</strong> These Terms will be governed by and construed in accordance with the laws of the State of California as such laws apply to contracts between California residents performed entirely within California. Any action or proceeding arising from or relating to these Terms must be brought in a federal court in the Northern District of California or in state court in Santa Clara County, California and each party irrevocably submits to the jurisdiction and venue of any such court. In the event of litigation between the parties arising out of or related to these Terms, the prevailing party will be entitled to recover its attorneys&#8217; fees and costs incurred.</span></p>
<p style="text-align: justify;"><span style="color: #808080;"><strong>10.2 Interpretation.</strong> The term &#8220;include&#8221; (and all of its variants) when used in these Terms will be interpreted to be followed by the clause &#8220;without limitation&#8221; in all cases. You agree that LinkedIn has sole discretion in determining the interpretation of the meaning of these Terms, including determining your compliance with these Terms.</span></p>
<p style="text-align: justify;"><span style="color: #808080;"><strong>10.3 Export Laws.</strong> You shall comply with applicable export laws and regulations of the United States with respect to any technical materials you receive pursuant to these Terms.</span></p>
<p style="text-align: justify;"><span style="color: #808080;"><strong>10.4 Waiver.</strong> The failure of LinkedIn to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.</span></p>

<p style="text-align: justify;"><span style="color: #808080;"><strong>10.6 Applicability and Entirety of Terms.</strong> These Terms do not apply to you if you and LinkedIn have executed a written API License Agreement, in which case such Agreement applies. In all other cases, these Terms apply to you, they constitute the entire agreement between you and us with respect to the subject matter herein, and they supersede any and all prior proposals (oral and written), understandings, representations and other communications between you and us.</span></p>
<p style="text-align: justify;"><span style="color: #808080;"><strong>10.7 Relationship Between the Parties.</strong> Nothing in these Terms will be construed as creating a partnership or joint venture of any kind between the parties and neither party will have the authority or power to bind the other party or to contract in the name of or create a liability against the other party in any way or for any purpose.</span></p>

<h2 style="text-align: justify;"><span style="color: #008080;"><em>II. Joining our Program</em></span></h2>
<h3 style="text-align: justify;"><strong><span style="color: #008080;"><em>A. Developer Accounts and Access Credentials</em></span></strong></h3>
<p style="text-align: justify;"><strong><span style="color: #008080;"><em>1. Developer Account.</em></span></strong></p>
<p style="text-align: justify;"><span style="color: #008080;"><em>To use the API, you must first sign up for a Developer Account using your real LinkedIn account. Both the Developer Account and your LinkedIn account must contain accurate and up-to-date information at all times, including your current title, company, and e-mail address.</em></span></p>
<p style="text-align: justify;"><strong><span style="color: #008080;"><em>2. Access Credentials.</em></span></strong></p>
<p style="text-align: justify;"><span style="color: #008080;"><em>Once you have a Developer Account you may obtain Access Credentials for your Application. The Access Credentials enable us to associate your API activity with your Application and the members using it. All <span style="color: #333333;">activities that occur using your Access</span> Credentials <span style="color: #333333;">are your responsibility</span>. Keep them secret. Do not sell, transfer, or sublicense them. Do not <span style="color: #333333;">attempt to circumvent the Access</span> Credentials. You must not require your users to obtain their own Access Credentials to use your Application.</em></span></p>
<p style="text-align: justify;"><strong><span style="color: #008080;"><em>3. Test Accounts.</em></span></strong></p>
<p style="text-align: justify;"><span style="color: #008080;"><em>For testing purposes only, you may create up to five LinkedIn accounts. Accounts must be created manually and not via any automated means, including scripts. These test accounts must not interact with non-test accounts (e.g. they must not be used to post messages in Groups), or be used to circumvent user limits. These accounts must have profiles that clearly identify them as test accounts, not have any profile positions at real companies besides your own, and be listed as Developers on your Developer Account.</em></span></p>
<h3 style="text-align: justify;"><span style="color: #008080;"><strong><em>B. API License</em></strong></span></h3>

<h3 style="text-align: justify;"><span style="color: #008080;"><strong><em>A. Display and Use Content Properly</em></strong></span></h3>

<p style="text-align: justify;"><span style="color: #008080;"><em>Each user must grant your application access to their LinkedIn network, and each user may only see data from his or her own LinkedIn network. Data from one user’s LinkedIn account or network must not be exposed to another user. People’s views of their networks are private to them, based on the connections they have. For example, you must not gather information about a LinkedIn member in one user’s network and show that information to other users.</em></span></p>
<p style="text-align: justify;"><span style="color: #008080;"><strong><em>2. Excluded Uses.</em></strong></span></p>
<p style="text-align: justify;"><span style="color: #008080;"><em>The use scenarios below are not permitted under these Terms. You must never do any of the following:</em></span></p>
<p style="text-align: justify;"><span style="color: #008080;"> <em>a. Use LinkedIn <span style="color: #333333;">Content in any advertisements or for purposes of targeting</span> advertisements, in your Application or elsewhere.</em></span></p>
<p style="text-align: justify;"><span style="color: #008080;"> <em>b. Use the Content for any of the following: generating <span style="color: #333333;">messages, promotions, offers, or</span> mass messages; or <span style="color: #333333;">for any other purpose other than, and solely to the extent necessary for, allowing end users to use the</span> Content in your Application.</em></span></p>
<p style="text-align: justify;"><span style="color: #008080;"> <em>c. Use the APIs in any <span style="color: #333333;">Application that contains or displays</span> adult content, promotes gambling, involves <span style="color: #333333;">the sale of tobacco or alcohol to persons under</span> 21 <span style="color: #333333;">years of age</span>, or otherwise violates any law or regulation.</em></span></p>
<p style="text-align: justify;"><span style="color: #008080;"> <em>d. <span style="color: #333333;">Sell, lease, share, transfer</span>, or sublicense any Content or access to any Content, directly or indirectly, to any third party, including any recruiter, <span style="color: #333333;">data broker</span>, salesperson, or advertising-related entity.</em></span></p>
<p style="text-align: justify;"><span style="color: #008080;"> <em>e. Offer API search results as aggregated search.</em></span></p>
<p style="text-align: justify;"><span style="color: #008080;"> <em>f. Commingle Content from the APIs with any LinkedIn data obtained directly or indirectly from another source, including data scraped from our Website or data provided by a third party. For example, you cannot supplement the Profile Data you have received via the API with other LinkedIn information obtained from scraping our Website, whether that scraping was done by you or a third party.</em></span></p>
<p style="text-align: justify;"><span style="color: #008080;"> <em>g. Display Content, including search results, gathered using the Access Credentials of another person. Each person must authenticate individually.</em></span></p>
<p style="text-align: justify;"><span style="color: #008080;"> <em>h. Distribute <span style="color: #333333;">or allow access to the stand-alone</span> APIs, or provide an application program interface that provides access to LinkedIn Content. Anyone who wants access to our APIs and Content must join our Developer Program.</em></span></p>
<h3 style="text-align: justify;"><span style="color: #008080;"><em>B. Store Content Only As Allowed</em></span></h3>
<p style="text-align: justify;"><span style="color: #008080;"><em>This Section III(B) replaces the old Section 3.4 that may be referred to in some of our other agreements. The terms of this Section III(B) apply everywhere that Section 3.4 of the API Terms of Use is referenced.</em></span></p>
<p style="text-align: justify;"><span style="color: #008080;"><strong> <em>1. No Copying.</em></strong></span></p>
<p style="text-align: justify;"><span style="color: #008080;"><em>Except as expressly permitted in these Terms, you must not copy or store any Content. This restriction includes any derived, hashed, or transformed data, or any method where you capture information expressed by the Content, even if you don’t store the Content itself.</em></span></p>
<p style="text-align: justify;"><span style="color: #008080;"><strong> <em>2. Tokens.</em></strong></span></p>
<p style="text-align: justify;"><span style="color: #008080;"><em>You may store <span style="color: #333333;">the alphanumeric user IDs (Member Tokens)</span> that we provide to <span style="color: #333333;">you for identifying users or any individual</span> member’s <span style="color: #333333;">authentication token (OAuth Token)</span> that we provide to you <span style="color: #333333;">when a LinkedIn user authenticates your Application to his LinkedIn account.</span></em></span></p>
<p style="text-align: justify;"><span style="color: #008080;"><strong> <em>3. Cache for Performance.</em></strong></span></p>
<p style="text-align: justify;"><span style="color: #008080;"><em>To improve the member experience, you may cache LinkedIn Content, but you must not do so for more than 24 hours from your original request. This limited permission to cache is for performance reasons only. You do not have any rights to the LinkedIn Content beyond this limited use.</em></span></p>
<p style="text-align: justify;"><span style="color: #008080;"><strong> <em>4. Member Profile Data.</em></strong></span></p>
<p style="text-align: justify;"><span style="color: #008080;"><em>If you obtain a member’s consent to store that member’s profile, you may perform <span style="color: #333333;">a one-time</span> capture of the Profile Data for that member and store that Profile Data. The process for obtaining member consent must meet the <span style="color: #333333;">specifications provided by</span> LinkedIn and explicitly inform the member which parts of his or her profile you are storing. Each future request for revised Profile Data must be accompanied by another request for consent from that member and consent from that member. You must use stored Profile Data solely for the benefit of the LinkedIn user that granted you permission to access it. You must not monetize it, directly or indirectly. For example, you may not sell access to an aggregated collection of profiles or the most relevant people for a position.</em></span></p>
<h3 style="text-align: justify;"><span style="color: #008080;"><em>C. Delete Content When Asked</em></span></h3>
<p style="text-align: justify;"><span style="color: #008080;"><strong>1. <em>Delete at User Request</em></strong></span></p>
<p style="text-align: justify;"><em><span style="color: #008080;">You must delete</span> all data collected with the <span style="color: #008080;">user’s consent, including the Member Token and the OAuth Token</span>, upon request by the user, when the user uninstalls your Application, or when the user closes his or her account with you. The restrictions of this <span style="color: #008080;">Section III(C)(1) do not apply to</span> data that users provide directly to you and that is separately <span style="color: #008080;">entered or uploaded to you by the user of your Application.</span></em></p>
<p style="text-align: justify;"><span style="color: #008080;"><strong> <em>2. Delete for Breach.</em></strong></span></p>
<p style="text-align: justify;"><span style="color: #008080;"><em>You must immediately delete all data if we terminate your use of the APIs for breach of these Terms, except when doing so would cause you to violate any law or obligation imposed by a governmental authority.</em></span></p>
<h3 style="text-align: justify;"><span style="color: #008080;"><em>D. Don’t Harm or Trick Members</em></span></h3>
<p style="text-align: justify;"><em><span style="color: #008080;">Your Application must include your own user agreement and privacy policy. Your user agreement and privacy policy must be prominently identified or located where users</span> download or access your <span style="color: #008080;">Application. You must</span> promptly notify us of any breaches of your <span style="color: #008080;">user agreement or privacy policy that impact or may impact our members. Your privacy policy must</span> be at least as stringent and user-friendly as <span style="color: #008080;">LinkedIn’s.</span></em></p>
<p style="text-align: justify;"><em>Before obtaining information from your users of the Application, you <span style="color: #008080;">must</span> obtain their informed consent by informing them what information you collect and how it will be used and/or shared.</em></p>
<p style="text-align: justify;"><span style="color: #008080;"><em>Your Application must not:</em></span></p>
<ul>
<li><em>Implement features or business practices that <span style="color: #008080;">harm</span> the professional reputation, relationships, or professional ecosystem of LinkedIn members.</em></li>
<li><em><span style="color: #008080;">Impersonate a LinkedIn user or</span> misrepresent any user or other third party <span style="color: #008080;">when</span> requesting or publishing <span style="color: #008080;">information</span>.</em></li>
<li><em>Obfuscate or hide any LinkedIn buttons, sign-in functionality, <span style="color: #008080;">consent</span>, or authorization flows from your users. </em></li>
<li><span style="color: #008080;"><em>In order to access member specific Content through the APIs, your users must sign-in with their LinkedIn credentials and grant your Application access to their Content.</em></span></li>
<li><span style="color: #008080;"><em>Proxy, request or collect LinkedIn user names or passwords. You are never allowed to collect or use a LinkedIn member’s username or password in any fashion for any reason. We want our members to have safe and consistent experiences across all applications.</em></span></li>
</ul>
<h3 style="text-align: justify;"><span style="color: #008080;"><em>E. Be a Good Citizen to our Platform</em></span></h3>
<p style="text-align: justify;"><span style="color: #008080;"><em>You share LinkedIn and our APIs with your fellow members and developers. Write your Application as you’d want others to write theirs.</em></span></p>
<ul>
<li style="text-align: justify;"><span style="color: #008080;"><em>Only ask for the minimum data fields your application needs to work properly.</em></span></li>
<li style="text-align: justify;"><span style="color: #008080;"><em>Don’t try <span style="color: #333333;">to exceed</span> or circumvent your limitations on calls and use. This includes creating multiple applications for identical, or largely similar, usage (e.g. having one application per customer). If we believe that you have exceeded or circumvented our limitations, or if you have tried to, we may temporarily suspend or permanently block your access to the APIs, disable your developer account, or both.</em></span></li>
<li style="text-align: justify;"><em><span style="color: #008080;">Don’t download,</span> scrape, post, or transmit, in any form or by any means, any part of our Website or <span style="color: #008080;">Content</span>.</em></li>
<li style="text-align: justify;"><em><span style="color: #008080;">Don’t copy</span>, reformat, reverse-engineer, or otherwise modify the APIs, Access <span style="color: #008080;">Credentials, our Website or any Content.</span></em></li>
<li style="text-align: justify;"><em><span style="color: #008080;">Don’t interfere</span> with or disrupt LinkedIn services or servers or networks connected to LinkedIn services, or disobey any requirements, procedures, policies or regulations of networks connected to LinkedIn <span style="color: #008080;">services</span>.</em></li>
</ul>
<h3 style="text-align: justify;"><span style="color: #008080;"><em>F. Treat Our Brand With Respect</em></span></h3>
<p style="text-align: justify;"><span style="color: #008080;"><strong><em>1. Brand Features License.</em></strong></span></p>
<p style="text-align: justify;"><em><span style="color: #008080;"> Subject to these Terms, including the Branding Guidelines, we grant you a limited, non-exclusive, non-assignable, non-sublicenseable, and non-transferable license during the Term to display our Brand Features</span> to promote or advertise your integration of the APIs in your Application.</em></p>
<p style="text-align: justify;"><span style="color: #008080;"><strong> <em>2. Restrictions.</em></strong></span></p>
<p style="text-align: justify;"><span style="color: #008080;"><em> You must not:</em></span></p>
<p><em>a. Display our Brand Features in any way that is misleading, defamatory, infringing, libelous, disparaging, obscene, or otherwise objectionable to <span style="color: #008080;">LinkedIn in its sole discretion</span>, or in a way that suggests we have created, sponsored, or endorsed your Application or its <span style="color: #008080;">content</span>;</em><br />
<em>b. Remove any legal, copyright, trademark, watermark or other proprietary rights notices contained in or on materials you receive or access pursuant to these Terms, including the APIs, the materials posted at the Developer Site, and our Website; <span style="color: #008080;">or</span></em><br />
<em>c. Use the APIs or Brand Features for any illegal, unauthorized or otherwise improper purposes, or in any manner that would violate these Terms (or any document incorporated into the Terms), or breach any laws or regulations, or violate any rights of third parties, or expose LinkedIn or its members to legal liability in your use of the <span style="color: #008080;">APIs.</span></em></p>
<p style="text-align: justify;"><span style="color: #008080;"><strong> <em>3. Publicity by You.</em></strong></span></p>
<p style="text-align: justify;"><em><span style="color: #008080;"> Subject to our Branding Guidelines,</span> You may promote your Application, including talking to traditional and online media and your users about your Application, so long as you do so truthfully and without implying that your Application is created or endorsed by LinkedIn (or otherwise embellishing your relationship with LinkedIn). However, you may not issue any formal press release via traditional or online media referring to LinkedIn without <span style="color: #008080;">LinkedIn’s prior consent, unless expressly allowed in the Branding Guidelines.</span></em></p>
<p style="text-align: justify;"><span style="color: #008080;"><strong> <em>4. Publicity by Us.</em></strong></span></p>
<p style="text-align: justify;"><em> We may publicly refer to you, orally or in writing, as a licensee of the LinkedIn <span style="color: #008080;">APIs. We may also publish your name and</span> logo (with or without a link to your Application) on our Website, in press releases, and in promotional materials without your prior consent.</em></p>
<h3 style="text-align: justify;"><em>G. Follow The Law and These Terms</em></h3>
<p style="text-align: justify;"><span style="color: #008080;"><em>You must comply with all applicable laws, including, the Digital Millennium Copyright Act and applicable export laws, and these Terms, which may be amended from time to time with or without advance notice, in order to use the LinkedIn APIs. You and your Application must also comply with <span style="color: #333333;">the following</span>, which are hereby incorporated by reference:</em></span></p>
<ol>
<li><span style="color: #008080;"><em>The LinkedIn User Agreement;</em></span></li>
<li><span style="color: #008080;"><em>The LinkedIn Privacy Policy;</em></span></li>
<li><span style="color: #008080;"><em>The Platform Guidelines, which are located at the Developer Site; and</em></span></li>
<li><span style="color: #008080;"><em>The Branding Guidelines.</em></span></li>
</ol>
<p style="text-align: justify;"><em>In the event of any conflict between the content in this document and the <span style="color: #008080;">above documents, this document controls</span> your use of the APIs. If you disagree with any of the provisions in these Terms, do not click that you agree to them, and do not <span style="color: #008080;">access or use the APIs.</span></em></p>
<p style="text-align: justify;"><em>The most current version of these Terms can be reviewed on the <span style="color: #008080;">Developer Site. By using the LinkedIn APIs after changes are made to the Terms, you agree to be bound by the most current version. If you disagree with the Terms, or changes to the Terms, you must discontinue your use of the APIs.</span></em></p>
<p style="text-align: justify;"><span style="color: #008080;"><em>If we have entered into a separate, written API License Agreement with you, the terms of that agreement will govern your use of those APIs.</em></span></p>
<h3 style="text-align: justify;"><span style="color: #008080;"> <em>H. Safety and Abuse</em></span></h3>
<p style="text-align: justify;"><span style="color: #008080;"><strong> <em>A. Security Measures</em></strong></span></p>
<p style="text-align: justify;"><em><span style="color: #008080;"> Your network,</span> operating system and the software of your web <span style="color: #008080;">servers</span>, databases, and computer systems (collectively, “<span style="color: #008080;">Systems</span>”) must be properly configured to securely operate your Application. You <span style="color: #008080;">must</span> not architect or select Systems in a manner to avoid the foregoing obligation. You must promptly report any security deficiencies in or intrusions to your Systems that you discover to LinkedIn in writing via email to <span style="color: #008080;">support@linkedin.com</span> or subsequent contact information posted in the Developer Site. You will work with LinkedIn to immediately correct any security deficiency, and will disconnect immediately any intrusions or intruder. In the event of <span style="color: #008080;">any</span> security deficiency or intrusion involving the Application, you will make no public statements (i.e. press, blogs, bulletin boards, etc.) without prior written and express permission from LinkedIn in each instance.</em></p>
<p style="text-align: justify;"><strong><span style="color: #008080;"> <em>B. Monitoring</em></span></strong></p>
<p style="text-align: justify;"><em><span style="color: #008080;"> You agree to</span> assist LinkedIn in verifying your compliance with <span style="color: #008080;">these Terms by providing information about your Application to us, which may also include access to your Application and other materials related to your use of the APIs. If</span> you do not demonstrate full compliance with this Agreement, we may restrict or terminate your access to the APIs.</em></p>
<p style="text-align: justify;"><strong><span style="color: #008080;"><em>C. Other Legal Terms</em></span></strong></p>
<p style="text-align: justify;"><span style="color: #008080;"><em>   A. Rights we reserve.</em></span></p>
<p style="text-align: justify;"><em>      1. Support and Modifications.</em></p>
<p style="text-align: justify;"><em><span style="color: #008080;">We may provide you with support or modifications for the APIs in our sole discretion. We may stop providing</span> support or modifications to you at any time without notice or liability to you. We may release subsequent versions of the APIs and require that you use <span style="color: #008080;">those</span> subsequent versions. Your continued use of the APIs following a subsequent release will be deemed your acceptance of modifications.</em></p>
<p style="text-align: justify;"><em>      2. <span style="color: #008080;">Fees</span>.</em></p>
<p style="text-align: justify;"><em>The APIs are currently provided for free, but LinkedIn reserves the right to charge for the APIs in the future. If we do charge a fee for use of the APIs or any developer tools and features, you do not have any obligation to continue to use <span style="color: #008080;">LinkedIn’s</span> developer resources.</em></p>
<p style="text-align: justify;"><em>      3. LinkedIn Independent Development.</em></p>
<p style="text-align: justify;"><em>You understand and acknowledge that LinkedIn may be independently creating applications, <span style="color: #008080;">content</span>, and other products or services that may be similar to or competitive with your <span style="color: #008080;">Application. Nothing</span> in these Terms will be construed as restricting or preventing LinkedIn from creating and fully exploiting <span style="color: #008080;">any applications, content, and other items, without any obligation to you.</span></em></p>
<p style="text-align: justify;"><em>    <span style="color: #008080;">  4. Developer Exception to our Privacy Policy.</span></em></p>
<p style="text-align: justify;"><em>LinkedIn may reveal personal information about developers for attribution purposes, handling inquiries from users or potential users, and other purposes LinkedIn reasonably deems necessary <span style="color: #008080;">under</span> these Terms. You understand and agree that LinkedIn may access, preserve, and disclose your personal information and your developer account details if required to do so by law or in a good faith belief that such access, preservation, or disclosure is reasonably necessary to comply with legal process or <span style="color: #008080;">to protect the rights, property, or</span> safety of LinkedIn, its affiliates or partners, its users, or the general public.</em></p>
<p style="text-align: justify;"><em> <span style="color: #008080;">  B. Proprietary Rights.</span></em></p>
<p style="text-align: justify;"><em>  <span style="color: #008080;">    1. LinkedIn Property.</span></em></p>
<p style="text-align: justify;"><em>As between you and us, we own all rights, title, and interest, including <span style="color: #008080;">all intellectual property rights, in and to, the (a)</span> APIs, and all elements, components, and executables of the APIs; <span style="color: #008080;">(b) the Content available from the APIs; (c) our Website; and (d) our Brand Features (clauses (a)-(d) collectively, the “LinkedIn Materials”). Except for the express licenses granted in these Terms, LinkedIn does not grant you any right, title,</span> or interest in the LinkedIn Materials. You agree to take such actions, <span style="color: #008080;">including executing</span> affidavits or other documents, as LinkedIn may reasonably request to effect, <span style="color: #008080;">perfect</span>, or confirm <span style="color: #008080;">LinkedIn’s rights to the LinkedIn Materials.</span></em></p>
<p style="text-align: justify;"><em>      2. <span style="color: #008080;">Feedback</span>.</em></p>
<p style="text-align: justify;"><em>You have no obligation to give us any suggestions, comments or other feedback (“<span style="color: #008080;">Feedback</span>”) relating to the LinkedIn Materials. However, we may use and include any Feedback that you voluntarily provide to improve the LinkedIn Materials and/or any other of our products, <span style="color: #008080;">services</span>, or technologies. Accordingly, if you give Feedback, you agree that we may freely use, reproduce, license, and distribute such Feedback. You also agree not to provide Feedback that you know is subject to any intellectual property claim by a third party or any license terms <span style="color: #008080;">that</span> would require products or services derived from <span style="color: #008080;">that</span> Feedback to be licensed to or from, or shared with, any third party.</em></p>
<p style="text-align: justify;"><em>      3. <span style="color: #008080;">Application.</span></em></p>
<p style="text-align: justify;"><em>You represent and warrant to LinkedIn that, excluding LinkedIn <span style="color: #008080;">Materials</span>, you have the right to use, reproduce, transmit, copy, publicly display, publicly perform, and distribute your Application, and that use by LinkedIn and its users of your Application <span style="color: #008080;">will</span> not violate the rights of any third party (e.g., copyright, patent, trademark, or other proprietary right of any person or entity), or any applicable regulation or law, including the laws of any country in which your Application is made available. Except to the extent your Application contains LinkedIn <span style="color: #008080;">Materials</span>, LinkedIn claims no ownership or control over your Application. During the term of these Terms you hereby grant to us a paid-up, royalty-free, <span style="color: #008080;">non-exclusive, worldwide</span>, irrevocable right and license, under all of your intellectual property rights, to: <span style="color: #008080;">(a)</span> use, perform, and display your Application and its content for purposes of marketing, demonstrating, and making your Application available to users; <span style="color: #008080;">(b)</span> link to and direct users to your Application; and <span style="color: #008080;">(c)</span> sublicense the foregoing rights to our affiliates. Following the termination of these Terms and upon written request from you, LinkedIn <span style="color: #008080;">will</span> make commercially reasonable efforts, as determined in its sole discretion, to remove all references and links to your Application from the LinkedIn <span style="color: #008080;">Website</span> and service. LinkedIn <span style="color: #008080;">has</span> no other obligation to delete copies of, references to, or links <span style="color: #008080;">to your Application</span>.</em></p>
<p style="text-align: justify;"><em>   <span style="color: #008080;">C. Term and Termination.</span></em></p>
<p style="text-align: justify;"><span style="color: #008080;"><em>      1. Term.</em></span></p>
<p style="text-align: justify;"><span style="color: #008080;"><em>The term of this agreement will c<span style="color: #333333;">ommence on the date upon which you agree to</span> these Terms and will continue until: you discontinue using our APIs, you close your Developer Account, or we terminate your access to the APIs, this agreement, or both.</em></span></p>
<p style="text-align: justify;"><span style="color: #008080;"> <em>      2. Suspension; Termination.</em></span></p>
<p style="text-align: justify;"><em>We may suspend or terminate your use of all or any of the APIs at any time if we believe you have violated these <span style="color: #008080;">Terms or, if we believe the availability of the APIs in your Application is not in our or our members’</span> best interests. We may discontinue the availability of some or all of the APIs at any time for any reason. We may also impose limits on certain features and services or restrict your access to some or all of the APIs or our Website. All of our rights <span style="color: #008080;">in these Terms</span> may be exercised without prior notice or liability to you.</em></p>
<p style="text-align: justify;"><em>      3. Effect of <span style="color: #008080;">Termination</span></em></p>
<p style="text-align: justify;"><span style="color: #008080;"> <em> Upon termination of the agreement between you and us under these Terms:</em></span></p>
<p style="text-align: justify;"><em>a. <span style="color: #008080;">all rights and licenses granted to you will terminate immediately;</span></em><br />
<em>b. you will promptly destroy LinkedIn Confidential Information in your possession or <span style="color: #008080;">control;</span></em><br />
<span style="color: #008080;"> <em>c. neither party is liable to the other party just because the agreement has been terminated; and</em></span><br />
<em><span style="color: #008080;">d. unless we agree otherwise in writing or as stated in these Terms, you must permanently delete all Content or other data which you stored pursuant to your use of the APIs</span>. LinkedIn may request that you certify in writing your compliance with this section.</em></p>
<p style="text-align: justify;"><em>      <span style="color: #008080;">4. Survival.</span></em></p>
<p style="text-align: justify;"><span style="color: #008080;"><em>Sections III(A)(2), III(B), III(C), III(D), III(E), III(F)(2), and the following sub-sections in Section V will survive any termination of this agreement: A.3, A.4, B, C.4, D, E, F, G, H, I, and J.</em></span></p>
<p style="text-align: justify;"><span style="color: #008080;"> <em>   D. WARRANTY DISCLAIMER.</em></span></p>
<p style="text-align: justify;"><em>While LinkedIn strives to have its APIs available continuously, we cannot guarantee any up-time for any LinkedIn developer resource, including the APIs.</em></p>
<p style="text-align: justify;"><em>THE LINKEDIN MATERIALS ARE PROVIDED <span style="color: #008080;">“AS IS”</span> WITH NO WARRANTY, EXPRESS OR IMPLIED, OF ANY KIND AND WE EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES AND CONDITIONS, INCLUDING ANY IMPLIED WARRANTY OR CONDITION OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AVAILABILITY, SECURITY, <span style="color: #008080;">TITLE, AND</span> NON-INFRINGEMENT. SOME OF THE LINKEDIN MATERIALS ARE EXPERIMENTAL AND HAVE NOT BEEN TESTED IN ANY MANNER. WE DO NOT REPRESENT, WARRANT OR MAKE ANY CONDITION THAT THE LINKEDIN MATERIALS ARE FREE OF INACCURACIES, ERRORS, <span style="color: #008080;">BUGS</span>, OR INTERRUPTIONS, OR ARE RELIABLE, ACCURATE, <span style="color: #008080;">COMPLETE</span>, OR OTHERWISE VALID. <p style="text-align: justify;"><em>You agree to hold harmless and indemnify LinkedIn, and its affiliates, and their respective directors, officers, agents, <span style="color: #008080;">employees, advertisers, and partners, from and against any third party claim arising from or in any way related to your use of any LinkedIn Materials, violation of these Terms</span>, or any other actions connected with your use of the APIs, including any liability or expense arising from all claims, losses, damages (actual and consequential), suits, judgments, litigation costs and reasonable <span style="color: #008080;">attorneys</span>’ fees, of every kind and nature.</em></p>
<p style="text-align: justify;"><em>  <span style="color: #008080;"> F. GOVERNING LAW</span></em></p>
<p style="text-align: justify;"><em>These Terms will be governed by and construed in accordance with the laws of the State of California as such laws apply to contracts between California residents performed entirely within California. Any action or proceeding arising <span style="color: #008080;">out of or relating to these Terms or your use of the APIs</span> must be brought in a federal court in the Northern District of California or in state court in Santa Clara County, California and each party irrevocably submits to the jurisdiction and venue of any such court. In the event of litigation between the parties arising out of or related to these <span style="color: #008080;">Terms or your use of the APIs</span>, the prevailing party will be entitled to recover its <span style="color: #008080;">attorneys</span>’ fees and costs incurred.</em></p>
<p style="text-align: justify;"><em>   <span style="color: #008080;">G. REMEDIES</span></em></p>
<p style="text-align: justify;"><em>You acknowledge that your breach of these Terms may cause irreparable harm to LinkedIn, the extent of which would be difficult to ascertain. Accordingly, you agree that, in addition to any other remedies to which LinkedIn may be legally entitled, LinkedIn will have the right to seek immediate injunctive relief in the event of a breach of these Terms by you or any of your officers, employees, consultants, or other agents.</em></p>
<p style="text-align: justify;"><em>  <span style="color: #008080;"> I. MISCELLANEOUS</span></em></p>
<p style="text-align: justify;"><em>The failure of LinkedIn to exercise or enforce any right or provision of these Terms <span style="color: #008080;">will</span> not constitute a waiver of such right or provision.If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the <span style="color: #008080;">parties</span> agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of these Terms remain in full force and <span style="color: #008080;">effect. These Terms</span> constitute the entire agreement between <span style="color: #008080;">LinkedIn and you</span> with respect to the subject matter <span style="color: #008080;">in this document</span>, and they supersede any and all prior proposals (oral and written), understandings, representations and other communications between you and us.Nothing in these Terms will be construed as creating a partnership or joint venture of any kind between the parties and neither party will have the authority or power to bind the other party or to contract in the name of or create a liability against the other party in any way or for any purpose. <p style="text-align: justify;"><span style="color: #008080;"><em>“Application” means a software application, website, or product you create or a service you offer.</em></span></p>
<p style="text-align: justify;"><span style="color: #008080;"><em>“Brand Features” means any <span style="color: #333333;">trade names, trademarks, service marks, logos and domain names that</span> LinkedIn makes available to you.</em></span></p>
<p style="text-align: justify;"><span style="color: #008080;"><em>“Content” means Profile Data and any other data or content from the Website or accessed via the APIs.</em></span></p>
<p style="text-align: justify;"><span style="color: #008080;"><em>“Developer Account” means an individual account created on the Developer Site.</em></span></p>
<p style="text-align: justify;"><span style="color: #008080;"><em>“Developer Site” means <span style="color: #333333;">the LinkedIn Developer Network site at</span> developer.linkedin.com.</em></span></p>

<p style="text-align: justify;">Spotify tiene unas Condiciones de Uso de las APIs para US y para Non-US, obviamente nos interesan los <a title="Condiciones de Uso de las APIs de Spotify, Non-US version" href="https://developer.spotify.com/documentation/web-api/" target="_blank" rel="noopener noreferrer"><em>Spotify Metadata API Terms of Use</em>, versión <em>Non -US</em></a>. Vamos allá.</p>

<h2 style="text-align: justify;">Resumen de las Condiciones de Uso de las APIs de Spotify:</h2>
<ul style="text-align: justify;">
<li><strong>Analizadas a fecha: </strong>30/07/2012</li>
<li><strong>Idioma de la versión analizada:</strong> Inglés</li>
<li><strong>Disponibles en castellano:</strong> No</li>
<li><strong>Número de palabras: </strong>2557</li>
<li><strong>Fecha de la última actualización:</strong> 26 de octubre de 2009</li>
<li><strong>Ámbito de la licencia de las APIs:</strong> Limitada, no exclusiva, revocable, no transferible y no sublicenciable para así poder acceder a las APIs y los metadatos del servicio y crear una aplicación que sea distribuida al público.</li>
<li><strong>Propiedad del software generado: </strong>No se indica. Se insiste mucho en que las APIs, metadatos y marcas de Spotify son suyas, están protegidas por el derecho de propiedad intelectual y que no disponemos de derecho alguno para usarlas en contra de lo establecido en este acuerdo. Pero no se llega a señalar de quién es la aplicación desarrollada con el uso de las APIs.</li>
<li><strong>Soporte de las APIs:</strong> Spotify indica que proporciona las APIs &#8220;tal cuál&#8221;, sin garantía alguna sobre su contenido, adecuación o calidad y que no tiene obligación alguna de dar soporte, actualizaciones, modificaciones o mejoras de las mismas.</li>
<li><strong>Coste de las APIs:</strong> No se indica, si bien ahora mismo no parece cobrarse por ellas. El problema es que entre que no se indica el coste y que Spotify se reserva todos los derechos habidos y por haber para modificar las condiciones del acuerdo a su antojo, en cualquier momento ese coste cero puede evaporarse.</li>
<li><strong>Particularidades:</strong> <strong>1)</strong> La relación jurídica en este caso no es con Spotify Spain S.L., sino con la matriz británica, Spotify Ltd. <strong>2)</strong> No cabe negociación de las condiciones, se aceptan tal cuál o no se aceptan <strong>3)</strong> Aunque se diga que el acuerdo no nos afecta en tanto en cuanto no lo aceptemos, en realidad quedamos sujetos al mismo desde el momento en que usemos la API, ni que sea parcialmente <strong>4)</strong> Spotify puede cambiar las Condiciones de Uso cuando lo considere, es responsabilidad nuestra comprobar de tanto en tanto los cambios <strong>5)</strong> Si vía la API se hace un número indeterminado de llamadas que afecte negativamente al servicio (algo que no sabemos qué significa y decide únicamente Spotify), podemos perder la posibilidad de usar las APIs <strong>6)</strong> Aceptamos que Spotify tenga acceso a nuestra aplicación para comprobar que hemos hecho un uso correcto de las APIs <strong>7)</strong> Spotify, si lo considera oportuno, puede limitar la cantidad de llamadas que la aplicación desarrollada haga vía la API, así como el volumen de metadatos accedidos. Tal decisión siempre será tomada únicamente por Spotify y sin aviso alguno <strong>8)</strong> Spotify pueda poner fin a este acuerdo en cualquier momento, sin previo aviso y sin razón alguna, aunque estemos todavía desarrollando nuestra aplicación, y sin responsabilidad alguna por su parte <strong>9)</strong> La interfaz o web que pueda crearse vía sus APIs no puede suponer la venta de tabaco, alcohol o las apuestas <strong>10)</strong> Para el nombre de la aplicación no puede usarse la palabra &#8220;Spotify&#8221;, ni derivados o acrónimos como por ejemplo &#8220;SPOTIFYING&#8221;</li>
<li><strong>Garantías y responsabilidades</strong>: Spotify se quita absolutamente toda la responsabilidad de encima, derivándola en quien haga uso de las APIs. De hecho quien haga uso de las APIs renuncia a iniciar cualquier acción contra Spotify y se obliga a indemnizarla si fuera el caso.</li>
<li><strong>Legislación y Jurisdicción aplicable:</strong> La legislación sueca resulta aplicable y también estamos sujetos a la jurisdicción sueca, concretamente al distrito judicial de Estocolmo.</li>

<p style="text-align: justify;"><em><span style="color: #008080;">Spotify Metadata API Terms of Use</span></em><br />
<em><span style="color: #008080;"> Effective as from 26 October 2009</span></em></p>
<p style="text-align: justify;"><em><span style="color: #008080;">This document (the “Agreement”) is a legally binding agreement between you and Spotify Ltd (“Spotify”) that governs your use of Spotify’s metadata application programming interfaces and documentation made available to you at the Metadata API web site (the “API”).</span></em></p>
<p style="text-align: justify;"><em><span style="color: #008080;">Please note that you must read and agree to the terms and conditions of this Agreement before you use the API. If you do not agree to the terms and conditions of the Agreement, you may NOT use the API.</span></em></p>
<p style="text-align: justify;">Primera cuestión, este es el documento que regula la relación entre el usuario de las APIs y Spotify, concretamente se regula el uso de la aplicación de metadatos para la programación de interfaces y la documentación que la acompaña.</p>
<p style="text-align: justify;">Segunda cuestión, esta relación no es con Spotify Spain SL, como hemos visto en todas las anteriores políticas, sino con Spotify Ltd, la central.</p>
<p style="text-align: justify;">Tercera cuestión, las condiciones se aceptan tal como se presentan o no se aceptan. No hay opción de negociarlas a priori.</p>
<p style="text-align: justify;"><strong><em><span style="color: #008080;">1. Definitions</span></em></strong></p>
<p style="text-align: justify;">Definiciones de conceptos importantes a efectos de esta política. Las traduzco directamente, ya que la verdad no hay mucho que comentar sobre ellas.</p>
<p style="text-align: justify;"><em><span style="color: #008080;"> “Application” shall mean a website, web page, software application or program developed by you that makes use of the API or the Metadata.</span></em></p>
<p style="text-align: justify;">&#8220;Aplicación será entendida como un sitio web, página web, aplicación de software o programa desarrollado por ti haciendo uso de la API o Metadatos&#8221;.</p>
<p style="text-align: justify;"><em><span style="color: #008080;">“Metadata” shall mean any data, images, text, content or other information or materials made available to you by Spotify through the API.</span></em></p>
<p style="text-align: justify;">&#8220;Metadatos será entendido como cualquier dato, imagen texto, contenido u otra información o materiales puestos a disposición para ti por Spotify a través de la API&#8221;.</p>
<p style="text-align: justify;"><em><span style="color: #008080;">“Spotify Service” means the digital music and media service owned and operated by Spotify which is available to end-users as an ad-supported free-to-the end-user version and as an advertisement free version for which the end user pays an access fee.</span></em></p>
<p style="text-align: justify;">&#8220;El Servicio Spotify es entendido como el servicio de música digital propiedad de y operado por Spotify y que se encuentra disponible para los usuarios finales en una modalidad gratuita con publicidad y en una modalidad de pago libre de publicidad&#8221;.</p>
<p style="text-align: justify;"><em><span style="color: #008080;">“Spotify Marks” means any trade marks of Spotify containing the word SPOTIFY or any other trade marks as registered or used by Spotify from time to time.</span></em></p>
<p style="text-align: justify;">&#8220;Las Marcas Spotify son entendidas como marcas comerciales de Spotify que contienen la palabra Spotify así como cualquier otra marca comercial registrada o usada por Spotify en un momento u otro&#8221;.</p>
<p style="text-align: justify;"><em><span style="color: #008080;">“User” means a user to whom Spotify has issued a unique user name and password that grant access to the Spotify Service.</span></em></p>
<p style="text-align: justify;">&#8220;Usuario es entendido como aquél a quien Spotify ha proporcionado un nombre de usuario único y una contraseña que le concede acceso al Servicio Spotify&#8221;.</p>
<p style="text-align: justify;"><strong><em><span style="color: #008080;">2. Contract formation</span></em></strong></p>
<p style="text-align: justify;"><em><span style="color: #008080;"> By ticking the “I agree” box or pressing the “I Accept” button downloading the API, you agree to the terms and conditions of this Agreement.</span></em></p>
<p style="text-align: justify;">Es decir, si marcamos la casilla &#8220;Acepto&#8221; o le damos al botón &#8220;Acepto&#8221; al descargar las APIs, quiere decir que aceptamos los términos y condiciones de este acuerdo.</p>
<p style="text-align: justify;">Más adelante esto se excepciona indirectamente en el punto 8.1, cuando se dice que pasamos a estar obligados por este acuerdo desde el momento que comenzamos a usar, ni que sea parcialmente, la API. Por tanto, hayamos aceptado o no, si usamos las APIs, según Spotify quedamos sujetos al siguiente acuerdo.</p>
<p style="text-align: justify;"><strong><em><span style="color: #008080;">3. Changes to the Agreement</span></em></strong></p>
<p style="text-align: justify;"><em><span style="color: #008080;"> Spotify reserves a right to make changes to this Agreement at its sole discretion. Any material changes will be posted on the developers website and it is your responsibility to check the website for such postings from time to time. The continued use of the API after the posting of changes to this Agreement will constitute an acceptance of such changes.</span></em></p>
<p style="text-align: justify;">Un clásico de estos casos, Spotify puede cambiar las condiciones de este acuerdo cuando lo considere. Cualquier cambio sustancial será comunicado en la web para desarrolladores, por tanto nos dicen que es responsabilidad nuestra comprobar de tanto en tanto las actualizaciones que puedan hacerse en esa web. Si una vez comunicados esos cambios se sigue usando la API, querrá decir que los aceptamos.</p>
<p style="text-align: justify;">Cláusula abusiva, no nos engañemos.</p>
<p style="text-align: justify;"><strong><em><span style="color: #008080;">4. Grant of license</span></em></strong></p>
<p style="text-align: justify;">El tipo de licencia que Spotify nos da por aceptar estos términos y condiciones. Vamos a ver:</p>
<p style="text-align: justify;"><em><span style="color: #008080;"> 1. Subject to your compliance at all times with this Agreement, Spotify grants to you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to:</span></em></p>
<p style="text-align: justify;">Siempre y cuando cumplamos en todo momento con las condiciones de este acuerdo, Spotify nos concede una licencia de uso de las APIs limitada (no podemos hacer lo que nos dé la gana con ella), revocable (nos la pueden quitar), no exclusiva (se la pueden dar a más gente), no transferible (para nosotros y nadie más) y no sublicenciable (es para nosotros y nadie más, nada de recolocarla a otro) para:</p>
<p style="text-align: justify;"><em><span style="color: #008080;">i. access the Spotify servers through the API for the sole purpose of making service calls in order to receive Metadata from the Spotify Service;</span></em></p>
<p style="text-align: justify;">Acceder a los servidores de Spotify a través de su API con el único propósito de hacer llamadas al servicio para así recibir metadatos desde el servicio de Spotify.</p>
<p style="text-align: justify;"><em><span style="color: #008080;">ii. use the API and the Metadata for the purpose of developing an Application and making the same available to the public;</span></em></p>
<p style="text-align: justify;">Usar la API y los metadatos con la finalidad de desarrollar una aplicación y hacerla accesible al público.</p>
<p style="text-align: justify;">Pregunta, ¿si la aplicación es para uso privado y no la distribuyo por tanto para todo el mundo no puedo usar la API? Si ese fuera el caso podrían excluirse muchos supuestos&#8230;</p>
<p style="text-align: justify;"><em><span style="color: #008080;">iii. use the Spotify Marks specified in Section 7 of this Agreement solely for purposes of complying with the branding requirements set forth in Section 7.</span></em></p>

<p style="text-align: justify;"><strong><em><span style="color: #008080;"> 5. Restrictions of use</span></em></strong></p>
<p style="text-align: justify;">Límites a la hora de usar las APIs. Pues en general cualquier fórmula no expresamente permitida o autorizada en este acuerdo. Ahora bien, concretamente y sin limitarse a esta lista, no puede usarse la API&#8230;</p>
<p style="text-align: justify;"><em><span style="color: #008080;"> 1. You must not use the API in any manner that is not expressly authorized in this Agreement. Without limiting the foregoing, you may not:</span></em></p>
<p style="text-align: justify;"><em><span style="color: #008080;">i. make service calls via the API to an extent that would adversely impact, in Spotify’s sole discretion, Spotify’s servers or the Spotify Service or make calls that could reasonably have been avoided;</span></em></p>
<p style="text-align: justify;">No puede usarse la API si se emplea para hacer llamadas que afectaran negativamente los servidores o el servicio de Spotify. ¿Quién decide qué es impactar negativamente? <p style="text-align: justify;"><em><span style="color: #008080;">ii. modify, edit, disassemble, decompile or reverse-engineer the API;</span></em></p>
<p style="text-align: justify;">Modificar, editar, decompilar o hacer ingeniería inversa de la API tampoco es posible. Bueno, bastante normal esto.</p>
<p style="text-align: justify;"><em><span style="color: #008080;">iii. use the API or the Metadata for any illegal or unauthorized purpose;</span></em></p>
<p style="text-align: justify;">Usar la API o los metadatos con finalidades ilegales o no autorizadas. Estaría bien saber qué se entiende por &#8220;ilegal o no autorizada&#8221;, pero bueno..</p>
<p style="text-align: justify;"><em><span style="color: #008080;">iv. aggregate Metadata to create data bases, or any other compilations of Metadata;</span></em></p>

<p style="text-align: justify;"><em><span style="color: #008080;">v. use the Metadata in any way or on any website that that is associated or promotes, encourages, facilitates or condones the illegal or unauthorized use or sharing of audio and/or audiovisual content;</span></em></p>
<p style="text-align: justify;">Si se usan los metadatos en alguna web o en algún sentido relacionado o asociado con la promoción o condonación de uso ilegal de audio o material audiovisual, tampoco pueden usarse las APIs. <p style="text-align: justify;"><em><span style="color: #008080;">vi. use the API or the Metadata in a manner that could be considered defamatory of third parties, obscene, malicious or discriminatory in any way, including but not limited to race, disability, sex, sexual orientation or religion; or</span></em></p>
<p style="text-align: justify;">El uso de las APIs o metadatos de una forma que pudiera considerarse difamatoria, obscena o discriminatoria de terceros ya sea por razón de raza, género, orientación sexual o religión entre otros.</p>
<p style="text-align: justify;"><em><span style="color: #008080;">vii. use the API or the Metadata in a manner that infringes any intellectual property or other right of Spotify or any third party, including without limitation, any right of privacy, publicity, copyright, trade mark, patent or contractual right.</span></em></p>

<p style="text-align: justify;"><em><span style="color: #008080;"> 2. You shall not interfere or attempt to interfere in any manner with the proper functioning of the API.</span></em></p>
<p style="text-align: justify;">Por supuesto no podemos interferir o intentar hacerlo con la finalidad de alterar el funcionamiento de la API.</p>
<p style="text-align: justify;"><em><span style="color: #008080;">3. Without limiting other restriction in this Agreement, you agree that the API and/or the Metadata may not be used to create an Application that offers or promotes services that may be damaging to, disparaging of or otherwise detrimental to the Spotify Service, to Spotify, or to content providers, affiliates and partners.</span></em></p>

<p style="text-align: justify;"><em><span style="color: #008080;">4. Your Application shall not include any viruses, worms, Trojan horses or any other harmful code that could, in Spotify’s sole discretion, affect the API or the Spotify Service.</span></em></p>

<p style="text-align: justify;"><em><span style="color: #008080;">5. You are solely responsible for your use of the API and the Metadata. You shall ensure that your use of the API and the Metadata complies with all applicable laws and regulations, including without limitation, laws regarding personal data, privacy, copyright and export controls.</span></em></p>

<p style="text-align: justify;"><strong><em><span style="color: #008080;">6. Provision of the API</span></em></strong></p>

Spotify reserves the right to modify the API and the Metadata, and to release subsequent versions of the API, at any time without notice to you. You understand that you may be required to obtain and use the most recent version of the API in order for your Application to continue to function with the API and the Spotify Service.</span></em></p>

In addition to its other rights under this Agreement, Spotify may utilize technical measures to prevent over-usage or stop usage of the API by a Application after any usage limitations are exceeded.</span></em></p>

<p style="text-align: justify;"><em><span style="color: #008080;">5. Spotify has no obligation to provide you or any users of your Application with support, software upgrades, enhancements or modifications to the API. You understand and agree that you are solely responsible for providing user support and any other technical assistance for your Application.</span></em></p>
<p style="text-align: justify;">Finalmente, Spotify nos dice que si aceptamos usar su API no tiene Spotify responsabilidad alguna de dar soporte, actualizaciones, mejoras o modificaciones de la API. <p style="text-align: justify;"><strong><em><span style="color: #008080;"> 7. Branding</span></em></strong></p>
<p style="text-align: justify;"><em><span style="color: #008080;"> 1. You agree that your Application must prominently display the following statement in the help text or about text, in the acknowledgements in the documentation associated with your Application and on any website associated with the Application or other promotional material:</span></em></p>

In addition, you agree not to attempt to register any domain name that includes the word “Spotify,” any other Spotify Mark, or any name that is confusingly similar to any of them.</span></em></p>

<p style="text-align: justify;"><em><span style="color: #008080;">3. In addition to the foregoing requirements in respect of your use of the Spotify Marks, you agree to comply with the Spotify Trade Mark Guidelines appended to this Agreement, as the same may be amended by Spotify from time to time in its sole discretion.</span></em></p>

<p style="text-align: justify;"><em><span style="color: #008080;"> 1. This Agreement commences upon the date you signify your acceptance of the Agreement by clicking “I agree” or otherwise commence use of any portion of the API and shall continue in force thereafter, unless terminated as provided herein.</span></em></p>

Spotify may amend or discontinue the API or any aspect thereof, or may terminate your ability to use the API, in each instance at any time prior to, or after, your development of an Application, without notice, for any reason or no reason, without any liability to you or your users. You may terminate this Agreement by ceasing all use of the API, in which case you must remove any and all code from your Application that enables your use of the API.</span></em></p>
<p style="text-align: justify;">Spotify puede corregir o suspender la API o cualquier aspecto de la misma, de la misma forma que puede dar por finalizada nuestra capacidad de utilizar la API, siempre en el momento que considere oportuno, haya sido o no ya desarrollada la aplicación, sin aviso, por la razón que sea (incluida la categoría &#8220;sin razón alguna&#8221;) y sin responsabilidad alguna frente a nosotros o nuestros usuarios. <p style="text-align: justify;"><strong><em><span style="color: #008080;">9. Warranties, Representations and Covenants</span></em></strong></p>
<p style="text-align: justify;"><em><span style="color: #008080;"> 1. You warrant to Spotify that:</span></em></p>

THE API AND THE METADATA IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. THERE IS NO WARRANTY, EXPRESSED OR IMPLIED, AS TO THE QUALITY, CONTENT AND AVAILABILITY OR FITNESS FOR A SPECIFIC PURPOSE OF THE API OR THE METADATA. NO ADVICE OR INFORMATION, WHETHER ORAL OR IN WRITING, OBTAINED BY YOU FROM SPOTIFY SHALL CREATE ANY WARRANTY ON BEHALF OF SPOTIFY IN THIS REGARD.</span></em></p>
<p style="text-align: justify;"><em><span style="color: #008080;">2. IN NO EVENT SHALL SPOTIFY, ITS AFFILIATES, OFFICERS, DIRECTORS AND EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES (INCLUDING BUT NOT LIMITED TO ANY LOSS OF DATA, SERVICE INTERRRUPTION, COMPUTER FAILURE OR PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE API OR THE METADATA, INCLUDING ANY DAMAGES RESULTING THEREFROM. YOUR ONLY RIGHT WITH RESPECT TO ANY PROBLEMS OR DISSATISFACTION WITH THE API OR THE METADATA IS TO STOP USING THE API.</span></em></p>

<p style="text-align: justify;">En cuanto al segundo punto, se resume en que por el uso de la API y posibles problemas que tengamos derivados del mismo, únicamente disponemos de un derecho, dejar de usar la API <img src="https://s.w.org/images/core/emoji/17.0.2/72x72/1f600.png" alt="😀" class="wp-smiley" style="height: 1em; max-height: 1em;" /> Por tanto si por el empleo de las APIs perdemos datos, se interrumpe nuestro servicio, se estropea parte del equipo o incluso perdemos dinero, Spotify y sus terceros relacionados no serán considerados responsables.</p>
<p style="text-align: justify;"><strong><em><span style="color: #008080;">11. Indemnity</span></em></strong></p>
<p style="text-align: justify;"><em><span style="color: #008080;"> You agree to indemnify and hold Spotify and its officers, directors, employees and licensors harmless from any claim or demand (including but not limited to reasonable attorney fees) made by a third party due to or arising out of or related to your use of the API or the Metadata or your violation of the terms and conditions of this Agreement or your violation of any laws, regulations or third party rights.</span></em></p>

Please note therefore that the API, the Metadata and the Spotify Marks (the “Intellectual Property”) is the property of Spotify or Spotify’s licensors and protected by intellectual property rights (including but not limited to copyright) and that you do not have a right to use the Intellectual Property in any manner not covered by the Agreement. For the avoidance of doubt, nothing in this Agreement shall be construed to convey, and you by virtue if this Agreement shall not acquire, any ownership interest in the Intellectual Property. You shall not contest, or assist others in contesting, the validity, enforceability, ownership or title of any Intellectual Property.</span></em></p>
<p style="text-align: justify;"><em><span style="color: #008080;">Further, you may not remove or alter any copyright, trade mark or other intellectual property notices contained on or provided through the Intellectual Property.</span></em></p>
<p style="text-align: justify;">Nada que no se haya comentado ya antes, es decir, Spotify respeta la propiedad intelectual y espera que nosotros hagamos lo mismo.</p>

<p style="text-align: justify;"><strong><em><span style="color: #008080;">13. Technology limitations and modifications</span></em></strong></p>
<p style="text-align: justify;"><em><span style="color: #008080;"> Spotify will make reasonable efforts to keep the API and the Spotify Service operational. However, certain technical difficulties or maintenance may, from time to time, result in temporary interruptions. Spotify reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, functions and features of the API and the Spotify Service with or without notice.</span></em></p>
<p style="text-align: justify;">Spotify tratará de mantener la API y su servicio operativo. Ahora bien, por mantenimiento o dificultades técnicas, y de tanto en tanto, puede llevar a cabo interrupciones temporales. <p style="text-align: justify;"><em><span style="color: #008080;"> You may not assign any of your rights, or delegate any of your duties under this Agreement, in whole or in part, to any person or entity. Spotify has a right to assign this Agreement or any part thereof to any third party without restrictions.</span></em></p>

<p style="text-align: justify;"><strong><em><span style="color: #008080;">15. Entire agreement</span></em></strong></p>
<p style="text-align: justify;"><em><span style="color: #008080;"> This Agreement constitutes all the terms and conditions agreed upon between you and Spotify with respect to the subject matter of this Agreement and supersedes any prior agreements, whether written or oral. Any additional or different terms or conditions in any written or oral communication from you to Spotify are void. You agree and accept that you have not accepted the terms and conditions of this Agreement in reliance of or to any oral or written representations made by Spotify not contained in this Agreement.</span></em></p>
<p style="text-align: justify;">En resumen, este es el único acuerdo válido entre Spotify y nosotros en cuanto al uso de sus APIs y metadatos, cualquier otro no resulta válido.</p>
<p style="text-align: justify;">Y al igual que en las Condiciones de Uso o la Política de Privacidad de Spotify, estamos de acuerdo que hemos aceptado dicho acuerdo no por condiciones escritas u orales no presentes en este acuerdo. Vaya, que no lo aceptamos por algo que por ejemplo el servicio de atención al cliente  nos indicara equivocadamente.</p>
<p style="text-align: justify;"><strong><em><span style="color: #008080;">16. Severability</span></em></strong></p>
<p style="text-align: justify;"><em><span style="color: #008080;"> Should for any reason or to any extent any provision of this Agreement be held invalid or unenforceable, such invalidity or enforceability shall not in any manner affect or render invalid or unenforceable the remaining provisions of this Agreement and the application of that provision shall be enforced to the extent permitted by law.</span></em></p>
<p style="text-align: justify;">Nada raro, que si por alguna razón una parte de este acuerdo se considerara no aplicable por inválida (ya hemos apuntado que habría más de una), esa invalidez no afectaría el resto de condiciones del acuerdo y su aplicación.</p>
<p style="text-align: justify;"><strong><em><span style="color: #008080;">17. Governing law and disputes</span></em></strong></p>
<p style="text-align: justify;"><em><span style="color: #008080;"> This Agreement shall be governed and construed in accordance with the substantive laws of Sweden. Any dispute, controversy or claim arising out of or in connection with this Agreement will be subject to the jurisdiction of the courts of Sweden, Stockholm District Court being the court of first instance.</span></em></p>
<p style="text-align: justify;">Si alguien quiere llevar a tribunales a Spotify por este acuerdo debería hacerlo según las leyes de Suecia y con sujeción a la jurisdicción sueca, siendo la primera instancia el distrito judicial de Estocolmo.</p>
<p style="text-align: justify;"><strong><em><span style="color: #008080;">18. English version prevails</span></em></strong></p>
<p style="text-align: justify;"><em><span style="color: #008080;"> In the event that this Agreement is translated into other languages and there is a discrepancy between the two language versions, the English language version shall prevail to the extent that such discrepancy is the result of an error in translation.</span></em></p>
<p style="text-align: justify;">Finalmente, en caso de que este este acuerdo se tradujera a más idiomas, tendría siempre preferencia la versión en inglés en caso de discrepancia.</p>

<p style="text-align: justify;"><em><span style="color: #008080;">Make sure the Spotify Marks are full and clearly visible, never altered or partially covered.</span></em></p>
<p style="text-align: justify;">Las marcas de Spotify siempre deban estar completas y visibles, y en ningún caso alteradas o parcialmente cubiertas.</p>
<p style="text-align: justify;"><em><span style="color: #008080;">Do not use the Spotify Marks in ways that (i) imply an association with or endorsement of any other product, service, event, sponsorship, or organization; (ii) can be reasonably interpreted to suggest editorial content was authorised by Spotify; or (iii) represent the views or opinions of Spotify or Spotify’s personnel without prior written approval from Spotify.</span></em></p>
<p style="text-align: justify;">Además, no podemos usar las marcas de Spotify para: 1) dar a entender una asociación o colaboración con algún producto, servicio, evento, patrocinio u organización; 2) dar a entender que se trata de contenido autorizado por Spotify; o 3) dar a entender que representa las opiniones o puntos de vista de Spotify o su personal, a no ser que se disponga del previo consentimiento.</p>
<p style="text-align: justify;"><em><span style="color: #008080;">Do not adopt trade marks, logos, slogans, or designs that are confusingly similar to the Spotify Marks or imitate the Spotify trade dress, including the look and feel of the Spotify clients design or the design of any Spotify website, Spotify distinctive colour or colour combinations, typography, graphic designs, product or service icons or images associated with Spotify.</span></em></p>
<p style="text-align: justify;">Nada de usar en nuestra aplicación logos, eslóganes o diseños que se parezcan, hasta el punto de generar confusión, con las marcas de Spotify. Por tanto nada de emplear los colores, tipografías, diseños o iconos asociados con Spotify.</p>
<p style="text-align: justify;"><em><span style="color: #008080;">Do not register the Spotify Marks as a domain name or incorporate a trade mark containing the word SPOTIFY into your own product names, domain names, service names, trade marks, logos or company names.</span></em></p>
<p style="text-align: justify;">Tampoco puede adoptar la aplicación un nombre que incluya la palabra Spotify ya sea un dominio web, un logo, un nombre comercial o de un servicio. No es como con Instagram, vaya.</p>
<p style="text-align: justify;"><em><span style="color: #008080;">Never display the Spotify Marks in a manner that is misleading, unfair, defamatory, infringing, libellous, disparaging, obscene or otherwise reasonable objectionable to Spotify.</span></em></p>
<p style="text-align: justify;">Como es lógico, tampoco puede usarse la marca Spotify para mostrarla de forma desleal, engañosa, difamatoria, obscena o cualquier otra razón objetable para Spotify.</p>
<p style="text-align: justify;"><em><span style="color: #008080;">Never display the Spotify Marks on any website or user interface that contains or displays pornographic content, promotes gambling or violence, contains hate speech, involves the sale of tobacco or alcohol, violates other applicable laws or regulations or is otherwise objectionable.</span></em></p>
<p style="text-align: justify;">Tampoco puede usarse Spotify en webs o interfaces que contengan contenido pornográfico, promocionen las apuestas, contengan discursos xenófobos, racistas o en pro del odio, impliquen la venta de tabaco y alcohol, violen otras leyes o regulaciones o sean objetables.</p>
<p style="text-align: justify;"><em><span style="color: #008080;">You do not have the right to use any other Spotify Marks than those located at Spotify’s web site.</span></em></p>

<p style="text-align: justify;">En la primera entrada comenté las <a title="Comentario de las Condiciones de Uso de Instagram" href="https://terminosycondiciones.es/2012/03/28/instagram-terminos-de-uso/" target="_blank" rel="noopener noreferrer">Condiciones de Uso</a>, en la segunda la <a title="Comentario de los términos y condiciones de la Política de privacidad de Instagram" href="https://terminosycondiciones.es/2012/04/03/instagram-ii-politica-de-privacidad/" target="_blank" rel="noopener noreferrer">Política de Privacidad</a>, ahora es el turno de las Condiciones de Uso de la API o los <a title="Condiciones de Uso de la API de Instagram" href="http://instagr.am/legal/terms/api/" target="_blank" rel="noopener noreferrer"><em>Instagram API Terms of Use</em></a>. Como ya comenté, los <em>Terms</em> sí incluyen por referencia los términos y condiciones de la <em>API Terms of Instagram</em>, no así los <em>Privacy Terms</em>, bloque separado de los otros dos. Durante el análisis comentaré las repercusiones que esto puede tener.</p>

<li><strong>Particularidades:</strong> <strong>1)</strong> Instagram puede dar por finalizada la licencia para usar las APIs en cualquier momento y por cualquier motivo <strong>2)</strong> Se aclara respecto a las Condiciones de Uso que las fotos son de quien las hace y no de quien las sube <strong>3)</strong> Si el usuario establece limitaciones respecto a sus fotos, quien use las APIs debe respetarlas <strong>4)</strong> Quien use las APIs debe responder en plazo de 24 horas a las solicitudes de retirada de información por parte de un usuario de Instagram <strong>5)</strong> Todavía se habla de &#8220;iPhone app&#8221;, ¿no pueden los usuarios de Android usar las APIs? <strong>6)</strong> Las APIs no pueden usarse para automatizar acciones de Instagram <strong>7)</strong> Se pueden utilizar los términos &#8220;Insta&#8221; o &#8220;gram&#8221;, sólo uno de los dos, a la hora de bautizar a nuestra aplicación</li>
<li><strong>Garantías y responsabilidades</strong>: Instagram se quita absolutamente toda la responsabilidad de encima, derivándola en quien haga uso de las APIs. De hecho quien haga uso de las APIs renuncia a iniciar cualquier acción contra Instagram y se obliga a indemnizarla si fuera el caso</li>

<h2 style="text-align: justify;">Vamos con el análisis detallado:</h2>
<h3 style="text-align: justify;"><em><span style="color: #008080;">INSTAGRAM API TERMS OF USE</span></em></h3>
<p style="text-align: justify;"><em><span style="color: #008080;">Thank you for using the Instagram application programming interfaces (the &#8220;Instagram APIs&#8221;). By using the Instagram APIs, you agree to the terms below. If you disagree with any of these terms, Instagram does not grant you a license to use the Instagram APIs. We reserve the right to update and change these terms from time to time without notice. You can always find the most recent version of these terms here http://www.instagram.com/legal/terms/api/</span></em></p>
<p style="text-align: justify;">En primer lugar Instagram nos agradece que usemos sus APIs o interfaz de programación de aplicaciones. ¿Qué es una API? Vía <a title="Definición de API en Wikipedia" href="http://es.wikipedia.org/wiki/Interfaz_de_programaci%C3%B3n_de_aplicaciones" target="_blank" rel="noopener noreferrer">Wikipedia</a>: <em>&#8220;Conjunto de funciones y procedimientos (o métodos, en la programación orientada a objetos) que ofrece cierta biblioteca para ser utilizado por otro software como una capa de abstracción&#8221;</em>.</p>
<p style="text-align: justify;">Instagram nos dice que por el hecho de usar sus APIs aceptamos los términos y condiciones que a continuación se exponen. Si no estamos de acuerdo con dichos términos, mala suerte, no tendremos licencia para usar su API. De forma que no hay posibilidad a priori de negociar los términos y condiciones para el uso de su API.</p>
<p style="text-align: justify;">Instagram también nos dice que puede modificar los términos y condiciones cuando quiera y como quiera, sin avisar, por supuesto. Y mediante una URL nos indica dónde podemos encontrar siempre la versión más actualizada de las condiciones de la API. Más razón todavía para señalar cuándo ha sido la última actualización de las diferentes políticas. Pero como hemos comentado, ese dato no se muestra.</p>
<p style="text-align: justify;">En conclusión, si alguien quiere usar las APIs de Instagram debe hacerlo de acuerdo a estos términos y condiciones, que no son negociables y que pueden cambiar en cualquier momento y por cualquier razón sin previo aviso.</p>
<p style="text-align: justify;"><span style="color: #008080;"><em>Your license to the Instagram APIs under these terms continues until it is terminated by either party. You may terminate the license by discontinuing use of all or any of the Instagram APIs. Instagram may terminate the license at any time for any reason. Your rights to use the Instagram APIs terminate automatically if (i) you violate any of these terms, (ii) Instagram publicly posts a written notice of termination on Instagram.com, (iii) Instagram sends a written notice of termination to you, or (iv) Instagram disables access to the Instagram APIs to you.</em></span></p>
<p style="text-align: justify;">Es decir, la licencia para usar la API de acuerdo a estos términos se extiende hasta que cualquiera de las dos partes la dé por terminada. Yo usuario puede dar por finalizado el uso de la licencia por interrumpir la utilización de todas o alguna de las APIs. Mientras tanto Instagram puede dar por finalizada la licencia por cualquier razón y en cualquier momento, ¿un pelín abusivo, no?</p>
<p style="text-align: justify;">A continuación Instagram nos dice que mis derechos para usar la API se fan por finalizados automáticamente si: 1) infrinjo alguno de los términos indicados a continuación; 2) si Instagram publica un aviso escrito de finalización en su página web; 3) si Instagram me envía ese aviso escrito directamente a mí; 4) o si desactiva el acceso que yo tengo como usuario a las APIs.</p>
<p style="text-align: justify;">Vaya, que Instagram tiene bastantes más posibilidades de dar por finalizado el uso de la licencia respecto a las APIs que el propio usuario. Si no estamos ante una cláusula abusiva, roza el larguero creo yo.</p>
<h3 style="text-align: justify;"><span style="color: #008080;"><em>1. LICENSED USES AND RESTRICTIONS.</em></span></h3>
<p style="text-align: justify;"><span style="color: #008080;"><em>The Instagram APIs are owned by Instagram. (hereinafter &#8220;Instagram&#8221;) and are licensed to you on a worldwide (except as limited below), non-exclusive, non-sublicenseable basis on the terms and conditions set forth herein. These terms define legal use of the Instagram APIs, all updates, revisions, substitutions, and any copies of the Instagram APIs made by or for you. Instagram user photos are owned by the users (the photographers) and not by Instagram. All rights not expressly granted to you are reserved by Instagram.</em></span></p>
<p style="text-align: justify;">Las APIs de Instagram son propiedad de Instagram y las licencia en los siguientes términos y condiciones: a nivel mundial (a no ser que se indique lo contrario), con carácter no exclusivo y no sublicenciable partiendo de la base de las condiciones establecidas de aquí en adelante.</p>
<p style="text-align: justify;">A continuación se indica que estas condiciones fijan el uso legal de las APIs de Instagram, sus actualizaciones, revisiones, sustituciones y cualquier copia de las mismas hechas por el usuario de las APIs o para él mismo.</p>
<p style="text-align: justify;">Se vuelve a aclarar que las fotos de los usuarios son de ellos y no de Instagram. Ahora bien, se hace un apunte que no se incluye en las <a title="Condiciones de Uso de Instagram " href="https://terminosycondiciones.es/2012/03/28/instagram-terminos-de-uso/" target="_blank" rel="noopener noreferrer">Condiciones de Uso</a>, y es que al hablar de las fotos del usuario se está hablando de las fotos del fotógrafo. Es decir, &#8220;<em>Instagram user photos are owned by the users (the photographers)&#8230;&#8221;</em>  quiere decir que las fotos de los usuarios de Instagram son de quien las hizo, no de quien las sube. Mucho mejor así creo yo.</p>
<p style="text-align: justify;">Finalmente se indica que cualquier derecho no expresamente garantizado se lo reserva Instagram.</p>
<p style="text-align: justify;"><span style="color: #008080;"><em>a. You shall:</em></span></p>
<p style="text-align: justify;"><span style="color: #008080;"><em>Comply with the Instagram Terms of Use at http://www.instagram.com/legal/terms</em></span></p>
<p style="text-align: justify;"><span style="color: #008080;"><em>Comply with any requirements or restrictions imposed on usage of the photos by their respective owners. Remember, Instagram doesn&#8217;t own the images &#8211; Instagram users do. Although the Instagram APIs can be used to provide you with access to Instagram user photos, neither Instagram&#8217;s provision of the Instagram APIs to you nor your use of the Instagram APIs override the photo owners&#8217; requirements and restrictions, which may include &#8220;all rights reserved&#8221; notices (attached to each photo by default when uploaded to Instagram), Creative Commons licenses or other terms and conditions that may be agreed upon between you and the owners. In ALL cases, you are solely responsible for making use of Instagram photos in compliance with the photo owners&#8217; requirements or restrictions.</em></span></p>
<p style="text-align: justify;">A continuación se señala a qué nos obligamos en caso de usar las APIs de Instagram.</p>
<p style="text-align: justify;">Para empezar a las <a title="Condiciones de Uso de Instagram" href="https://terminosycondiciones.es/2012/03/28/instagram-terminos-de-uso/" target="_blank" rel="noopener noreferrer">Condiciones de Uso</a> ya comentadas inicialmente. Allí me remito para más detalles. Decir que aquellas condiciones también incluían por referencia estas condiciones de uso de las APIs, por tanto, aclaraciones aquí de cuestiones allí dudosas, deben aplicar la interpretación derivada de estos términos.</p>
<p style="text-align: justify;">Interesante, se dice que si uso las APIs de Instagram debo ajustarme a los requerimientos o restricciones impuestas en el uso de las fotos por sus respectivos titulares. Se recuerda de nuevo que Instagram no es es propietario de las fotos, los usuarios lo son. Se recuerda que aunque las APIs de Instagram pueden ser usadas para acceder a las fotos de los usuarios, ni la posibilidad de usar las APIs ni el uso de las mismas anula los requisitos y restricciones que los usuarios hayan podido establecer respecto a las fotos. Eso incluye avisos de &#8220;Todos los derechos reservados&#8221; incorporados en cada foto por defecto cuando ésta es subida a Instagram, licencias Creative Commons u otros términos y condiciones que puedan acordarse entre el usuario de las APIs y el titular de las fotografías.</p>
<p style="text-align: justify;">En todo caso, quien usa las APIs es el único responsable de hacer un uso de ellas de acuerdo a lo que sus titulares hayan indicado.</p>
<p style="text-align: justify;">Personalmente no he visto la opción de por defecto indicar &#8220;Todos los derechos reservados&#8221;, quizá sea una forma de hablar y no una opción en sí. En todo caso se podría incluir en la propia foto editándola previamente o en el texto que la acompaña cuando uno la sube. Sí he visto fotos subidas con marcas de agua que señalan el autor de la fotografía e incluso alguna indicando la necesidad de cumplir determinada licencia Creative Commons.</p>
<p style="text-align: justify;">Creo que muy bien en este sentido Instagram, muy razonable lo que establece. Ahora bien, el usuario de las APIs debe respetar los avisos que se hayan establecido sobre esas fotos, perfecto. Pero Instagram y la licencia que aplica a las fotos de los usuarios nada dice de respetar esas condiciones especiales, más allá de la limitación de las fotos privadas. De hecho la licencia bajo la cual Instagram usa mis fotos, podría ser completamente contradictoria con la licencia que yo estableciera sobre las mismas&#8230;</p>
<p style="text-align: justify;"><span style="color: #008080;"><em>Comply with any other terms and conditions a user has attached to his or her photo. For example, if a user marks a photo as &#8220;private&#8221; after using your service, your application must reflect those changes as soon as reasonably possible. If your application has any cached copies of photos that have become &#8220;private,&#8221; you must remove as soon as reasonably possible.</em></span></p>
<p style="text-align: justify;">Como usuario de las APIs también debo cumplir con cualquier otros términos y condiciones que el usuario haya adjuntado a su foto. Por ejemplo, si un usuario marca una foto como privada una vez haya usado el servicio que nosotros tenemos vía las APIs de Instagram, nuestra aplicación debe dar cuenta de ello lo antes posible. Eliminando por ejemplo las copias de las fotos que se hayan convertido en privadas.</p>

<p style="text-align: justify;">Además, si utilizo las APIs de Instagram debo eliminar en 24 horas las fotos o cualquier información que el propietario de la fotografía solicite retirar.</p>
<p style="text-align: justify;"><span style="color: #008080;"><em>Disclose in your application through a privacy policy or otherwise displayed in the footer of each page, how you collect, use, store, and disclose data collected from visitors, including, where applicable, that third parties (including advertisers) may serve content and/or advertisements and collect information directly from visitors and may place or recognize cookies on visitors&#8217; browsers.</em></span></p>
<p style="text-align: justify;">Otra obligación, si uso las APIs de Instagram debo, a través de una política de privacidad accesible vía mi aplicación o avisos en el pie de cada página, indicar cómo recojo información de mis visitantes incluyendo, si fuera el caso, terceras partes (también anunciantes) que puedan proporcionar contenido y/o anuncios a la vez que recolectan información directamente de sus visitantes. También debe cumplirse esta obligación si la aplicación coloca cookies o reconoce cookies del navegador de los visitantes. Recordar que en España hace nada que ha cambiado la regulación, adaptándose a la  normativa europea, respecto al uso de las cookies. <p style="text-align: justify;">La verdad es que muy razonables estas obligaciones por parte de Instagram para quien use sus APIs. Respetar por una parte el verdadero titular del contenido que se sube a la red social, los usuarios, así como su privacidad en tanto en cuanto la aplicación que creemos capte información de quien la utiliza. Con la excepción del tema de las licencias, me gusta.</p>
<p style="text-align: justify;"><span style="color: #008080;"><em>b. You shall not:</em></span></p>
<p style="text-align: justify;">Cosas que no podemos hacer con las APIs de  Instagram. Vamos allá.</p>

Further, we reserve the right to rate limit or block applications that make a large number of calls to the API that are not primarily in response to direct user actions.</em></span></p>
<p style="text-align: justify;">Tampoco puedo utilizar las APIs para afectar negativamente la estabilidad de Instagram, sus servidores o boicotear otras aplicaciones que usan las APIs.</p>

<p style="text-align: justify;"><span style="color: #008080;"><em>Any use of the Instagram logo in your application shall be less prominent than the logo or mark that primarily describes the application and your use of the Instagram logo shall not imply any endorsement by Instagram.</em></span></p>
<p style="text-align: justify;">Nada de utilizar el logo de Instagram si no tenemos su consentimiento por escrito. Y en todo caso, de poder usar el logo de Instagram éste será menos prominente que el logo de la aplicación que emplea las APIs y en ningún caso implicará cualquier tipo de aprobación por parte de Instagram.</p>
<h3 style="text-align: justify;"><span style="color: #008080;"><em>3. OWNERSHIP AND RELATIONSHIP OF PARTIES.</em></span></h3>
<p style="text-align: justify;"><span style="color: #008080;"><em>The Instagram APIs may be protected by copyrights, trademarks, service marks, international treaties, and/or other proprietary rights and laws of the U.S. and other countries. Instagram&#8217;s rights apply to the Instagram APIs and all output and executables of the Instagram APIs, excluding any software components developed by you which do not themselves incorporate the Instagram APIs or any output or executables of the Instagram APIs. You agree to abide by all applicable proprietary rights laws and other laws, as well as any additional copyright notices or restrictions contained in these terms. Instagram owns all rights, title, and interest in and to the Instagram APIs. These terms grant you no right, title, or interest in any intellectual property owned or licensed by Instagram, including (but not limited to) the Instagram APIs and Instagram trademarks.</em></span></p>
<p style="text-align: justify;">Es decir, lo que es de Instagram, suyo es. Y estas APIs pueden estar protegidas por la regulación norteamericana o de otros países en materia de propiedad intelectual.</p>

<p style="text-align: justify;"><span style="color: #008080;"><em>Instagram may elect to provide you with support or modifications for the Instagram APIs (collectively, &#8220;Support&#8221;), in its sole discretion, and may terminate such Support at any time without notice to you. Instagram may change, suspend, or discontinue any aspect of the Instagram APIs at any time, including the availability of any Instagram APIs. Instagram may also impose limits on certain features and services or restrict your access to parts or all of the Instagram APIs or the Instagram Web site without notice or liability.</em></span></p>
<p style="text-align: justify;">En resumen, en cualquier momento, por cualquier razón y sin previo aviso, las condiciones de las APIs pueden cambiar, verse limitadas, suspendidas o restrringidas.</p>

<h3 style="text-align: justify;"><span style="color: #008080;"><em>5. FEES AND PAYMENTS.</em></span></h3>
<p style="text-align: justify;"><span style="color: #008080;"><em>Instagram is committed to free and open access to our APIs for non-commercial purposes. However, providing the APIs does have real costs for Instagram. For uses of Instagram APIs over a certain rate or for certain types of commercial applications, Instagram reserves the right to charge fees for future use of or access to the Instagram APIs.</em></span></p>
<p style="text-align: justify;">Bueno y malo.</p>
<p style="text-align: justify;">El uso y acceso a las APIs no tiene coste y es abierto si no hay finalidad comercial. Por lo que se deduce que si quiero usar las APIs para fines comerciales, ¿hay unas condiciones diferentes a éstas?</p>
<p style="text-align: justify;">Ahora bien, como dar acceso a las APIs tiene un coste para Instagram, ésta se reserva el derecho para en el futuro cobrar un importe si se superan determinados ratios (de peticiones, entiendo que quiere decir) o para determinados usos comerciales. Por tanto no es que haya unos términos y condiciones diferentes para el uso comercial de las APIs, a priori al menos, simplemente que Instagram en esos casos puede requerir el pago de una cantidad que satisfaga el coste de proporcionar las APIs.</p>
<p style="text-align: justify;">Lo malo de todo esto es que quien usa la API sin mayor intención que experimentar con ella, un día puede verse con el requerimiento de Instagram en la mesa solicitando el pago de determinada cantidad si quiere seguir usando esas APIs. Y es algo que puede ocurrir en cualquier momento y sin previo aviso.</p>
<p style="text-align: justify;">Para que esto no quedara tan en manos de Instagram, estaría bien que por ejemplo indicara a partir de ratios de peticiones o llamadas a las APIs es demasiado para ellos o qué tipos de actividades comerciales les parecen que podrían requerir el pago de una cantidad. Pero así como está redactado este punto es muy vago y arbitrario.</p>
<h3 style="text-align: justify;"><span style="color: #008080;"><em>6. DISCLAIMER OF ANY WARRANTY.</em></span></h3>
<p style="text-align: justify;"><span style="color: #008080;"><em>SOME OF THE INSTAGRAM APIS MAY BE EXPERIMENTAL AND NOT TESTED IN ANY MANNER. INSTAGRAM DOES NOT REPRESENT OR WARRANT THAT ANY INSTAGRAM APIS ARE FREE OF INACCURACIES, ERRORS, BUGS, OR INTERRUPTIONS, OR ARE RELIABLE, ACCURATE, COMPLETE, OR OTHERWISE VALID.</em></span></p>

Su explicación es que algunas de las APIs pueden ser experimentales y ni tan siquiera haber sido testeadas. Por tanto no garantizan que no puedan tener errores, estar incompletas o producir interrupciones por ejemplo.</p>
<p style="text-align: justify;">Indican también que las dan &#8220;tal cual&#8221; y que no se hacen responsables ni conllevan garantía alguna si se quieren usar para en cuestiones de seguridad, mercadotecnia u otros ámbitos.</p>
<p style="text-align: justify;">De hecho, si se produce algún daño o se pierden datos en algún sentido, no se hacen responsables, nosotros seríamos los responsables por el uso de las APIs&#8230;</p>
<h3 style="text-align: justify;"><span style="color: #008080;"><em>7. LIMITATION OF LIABILITY.</em></span></h3>
<p style="text-align: justify;"><span style="color: #008080;"><em>INSTAGRAM SHALL NOT, UNDER ANY CIRCUMSTANCES, BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH USE OF THE INSTAGRAM APIS, WHETHER BASED ON BREACH OF CONTRACT, BREACH OF WARRANTY, TORT (INCLUDING NEGLIGENCE, PRODUCT LIABILITY OR OTHERWISE), OR ANY OTHER PECUNIARY LOSS, WHETHER OR NOT INSTAGRAM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. UNDER NO CIRCUMSTANCES SHALL INSTAGRAM BE LIABLE TO YOU FOR ANY AMOUNT.</em></span></p>

<h3 style="text-align: justify;"><span style="color: #008080;"><em>8. EXCLUSIONS AND LIMITATIONS.</em></span></h3>
<p style="text-align: justify;"><span style="color: #008080;"><em>SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS OF SECTIONS 7 AND 8 MAY NOT APPLY TO YOU.</em></span></p>
<p style="text-align: justify;">Interesante pero, al menos reconocen que no en todas las jurisdicciones la absoluta exclusión de garantías y/o responsabilidades por daños está permitida, de modo que algunas de las limitaciones de los puntos 7 y 8 (supongo que se han equivocado y quieren decir puntos 6 y 7, ya que el punto 8 es éste) pueden no resultarnos aplicables.</p>
<h3 style="text-align: justify;"><span style="color: #008080;"><em>9. RELEASE AND WAIVER.</em></span></h3>
<p style="text-align: justify;"><span style="color: #008080;"><em>To the maximum extent permitted by applicable law, you hereby release and waive all claims against Instagram, and its subsidiaries, affiliates, officers, agents, licensors, co-branders or other partners, and employees from any and all liability for claims, damages (actual and/or consequential), costs and expenses (including litigation costs and attorneys&#8217; fees) of every kind and nature, arising from or in any way related to your use of Instagram APIs. If you are a California resident, you waive your rights under California Civil Code § 1542, which states, &#8220;A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor.&#8221; You understand that any fact relating to any matter covered by this release may be found to be other than now believed to be true and you accept and assume the risk of such possible differences in fact. In addition, you expressly waive and relinquish any and all rights and benefits which you may have under any other state or federal statute or common law principle of similar effect, to the fullest extent permitted by law.</em></span></p>

<p style="text-align: justify;"><span style="color: #008080;"><em>To the maximum extent permitted by applicable law, you agree to hold harmless and indemnify Instagram and its subsidiaries, affiliates, officers, agents, licensors, co-branders or other partners, and employees from and against any third party claim arising from or in any way related to your use of Instagram APIs, including any liability or expense arising from all claims, losses, damages (actual and/or consequential), suits, judgments, litigation costs and attorneys&#8217; fees, of every kind and nature. Instagram shall use good faith efforts to provide you with written notice of such claim, suit or action.</em></span></p>
<p style="text-align: justify;">Vamos, que además de decir Instagram que quedan libres de cualquier culpa y garantía y que las APIs las dan como las dan y sin testear, si el uso de éstas por nuestra parte causara algún daño o pérdida a tercero, quien usa las APIs exonera a Instagram de toda responsabilidad e incluso debe indemnizarla.</p>
<p style="text-align: justify;">Empieza a ser un poco muy excesivo esto&#8230;</p>
<h3 style="text-align: justify;"><span style="color: #008080;"><em>11. GENERAL TERMS.</em></span></h3>
<p style="text-align: justify;"><span style="color: #008080;"><em>Relationship of the Parties. Notwithstanding any provision hereof, for all purposes of the Terms of Use, you and Instagram shall be and act independently and not as partner, joint venturer, agent, employee or employer of the other. You shall not have any authority to assume or create any obligation for or on behalf of Instagram, express or implied, and you shall not attempt to bind Instagram to any contract.</em></span></p>
<p style="text-align: justify;">Vamos, que por usar las APIs no somos parte de Instagram ni podemos actuar en su nombre ni los representamos en nada. Razonable.</p>
<p style="text-align: justify;"><span style="color: #008080;"><em>Invalidity of Specific Terms. If any provision of the Terms of Use is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties&#8217; intentions as reflected in the provision and the other provisions of such documents remain in full force and effect.</em></span></p>

<p style="text-align: justify;"><span style="color: #008080;"><em>No Waiver of Rights by Instagram. Instagram&#8217;s failure to exercise or enforce any right or provision of the Terms of Use shall not constitute a waiver of such right or provision.</em></span></p>
<p style="text-align: justify;">Al fin hablan de jurisdicción y ley aplicable.</p>
<p style="text-align: justify;">Ley aplicable, las del estado de Califfornia. Jurisdicción, la del condado de Santa Clara, California.</p>
<p style="text-align: justify;">Interesante el hecho que indica ley y jurisdicción de los Terms of Use. Por tanto no queda claro si se refiere a los Terms de las APIs o los Terms genéricos. El tema es que estos Terms forman parte de los genéricos por referencia. Por tanto lo lógico sería entender que las Condiciones de Uso y las Condiciones de Uso de las APIs tiene como ley aplicable las del estado de Califfornia y como jurisdicción competente la del condado de Santa Clara, California.</p>
<p style="text-align: justify;">Quedaría la duda de la Política de privacidad, que no está incluida en las Condiciones de Uso y no dice nada respecto a estos asuntos.</p>
<p style="text-align: justify;"><span style="color: #008080;"><em>Miscellaneous. The section headings and subheadings contained in this agreement are included for convenience only, and shall not limit or otherwise affect the terms of the Terms of Use. Any construction or interpretation to be made of the Terms of Use shall not be construed against the drafter. The Terms of Use constitute the entire agreement between Instagram and you with respect to the subject matter hereof.</em></span></p>
<p style="text-align: justify;">Los encabezados y sub-encabezados de estos términos y condiciones está aquí por conveniencia y no deben limitar o afectar los términos de estas condiciones de Uso.</p>
<p style="text-align: justify;">Además, cualquier interpretación derivada de estas condiciones no se puede achacar contra el autor de estos términos y condiciones. Interesante, el que redacta nada quiere saber de los problemas derivados de una mala redacción.</p>
<h3 style="text-align: justify;"><span style="color: #008080;"><em>INSTAGRAM API TRADEMARK AND BRAND GUIDELINES</em></span></h3>
<p>Finalmente, guía sobre cómo usar la marca Instagram. Vamos allá.</p>

<li><span style="color: #008080;"><em>You are not allowed to use the word &#8220;Instagram&#8221;, &#8220;IG&#8221; or any variation in your product name, domain name, or images.</em></span></li>

<div style="text-align: justify;">Ya nos habían dicho más arriba que la palabra &#8220;Instagram&#8221; dentro del dominio principal no se podía utilizar, ahora nos lo recuerdan y además añaden que los términos &#8220;Instagram&#8221;, &#8220;IG&#8221; o cualquier variación no se pueden usar en el nombre del producto/aplicación que creemos, así como tampoco en imágenes.</div>
<ul style="text-align: justify;">
<li><span style="color: #008080;"><em>You are not allowed to use the Instagram icon or logo unless specifically allowed in the developer documentation</em></span></li>
</ul>
<div style="text-align: justify;">Ya indicado también antes, nada de usar el icono o logo de Instagram a no ser que se indique lo contrario.</div>

<li><span style="color: #008080;"><em>If you do incorporate Instagram&#8217;s logos, you must include the following statement clearly on your website: &#8220;This [application/website] uses the Instagram(tm) API and is not endorsed or certified by Instagram or Burbn, inc. <div style="text-align: justify;">Otra vez algo repetido, aunque algo ampliado. Si finalmente podemos usar el logo, debemos incluir el siguiente aviso en nuestra web: <em>&#8220;Esta (web/aplicación) usa la API de Instagram (TM) y no está aprobada o certificada por Instagram o Burbn, inc. Todos los logos y marcas de Instagram (TM) mostrados en esta (web/aplicación) son propiedad de Burbn, inc.&#8221;</em></div>

Un poco más de inseguridad sobre los posibles cambios de humor de Instagram respecto a sus APIs.</p>
